GlassHive Data Processing Agreement

This Data Processing Agreement ("Agreement") forms part of the Terms of Service between GlassHive and Customer for the purchase of online services from GlassHive to reflect the Parties' agreement with regard to the Processing of Personal Data.
This Agreement governs the specific requirements of Data Protection Laws to the extent that Customer's use of GlassHive Services implies the processing of Personal Data subject to Data Protection Laws.
This Agreement is complementary to our Privacy Policy, which serves as the primary reference for our data protection practices and measures.
Parties
Data Controller: Customer
Data Processor: GlassHive
Definitions
The following terms shall have the meanings set forth below, as defined under the General Data Protection Regulation (GDPR):
Personal Data: Any information relating to an identified or identifiable natural person ("Data Subject").
Processing: Any operation or set of operations which is performed on Personal Data, such as collection, storage, use, etc.
Controller: The entity that determines the purposes and means of processing Personal Data.
Processor: The entity that processes Personal Data on behalf of the Controller.
Sub-processor: Any third party engaged by GlassHive to process Personal Data.
Purpose of data processing
The Customer is the Data Controller and determines the purposes and means of the processing. GlassHive will process Personal Data to:
Provide the services to the Customer
Follow the instructions given by the Customer
Perform internal reporting and other similar exercises
Fulfill legal obligations and resolve disputes
Instructions for processing personal data
GlassHive agrees to process Personal Data on documented instructions from the Customer, which may include instructions via this Agreement or any specific directions provided by the Customer.
The Customer must ensure that all instructions comply with applicable data protection laws, including the GDPR.
Confidentiality
GlassHive agrees that its employees, agents, or contractors who have access to Personal Data shall be bound by appropriate confidentiality obligations.
GlassHive will ensure that all personnel involved in processing Personal Data are informed of their obligations under this Agreement.
Security
GlassHive agrees to implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk of processing, in accordance with Article 32 of the GDPR.
These measures may include data encryption, access controls, secure storage, and regular security audits.
Use of sub-processors
Customer agrees that GlassHive may engage Sub-processors to assist in providing the Services, provided that GlassHive ensures that the Sub-processors are subject to written agreements that offer at least the same level of protection for Personal Data as this Agreement.
Customer acknowledges and approves the list of Sub-processors outlined in this Agreement, understanding that this list may be updated by GlassHive regularly, in which case the Customer shall be informed by GlassHive according to the Privacy Policy notification process. Furthermore, the Customer authorizes GlassHive to disclose and transfer Personal Data to any company within its corporate group.
Data subject rights
GlassHive will assist the Customer in fulfilling its obligations to respond to requests from Data Subjects to exercise their rights under GDPR, including rights of access, rectification, erasure, restriction of processing, data portability, and objection to processing.
GlassHive agrees to notify the Customer if it receives any direct requests from Data Subjects regarding their Personal Data.
Personal data rentention and deletion
GlassHive will retain Personal Data only for as long as necessary to fulfill the purposes described in the Agreement or as required by law.
Upon termination of this Agreement, GlassHive will, at the Customer's choice, delete or return all Personal Data.
Notification of breach
GlassHive shall promptly notify the Customer of any Data Breach affecting Personal Data. The notification will include information regarding the nature of the breach, the potential impact on Data Subjects, and any actions taken to mitigate the breach.
GlassHive agrees to cooperate fully with the Customer in managing the breach and fulfilling any obligations related to the breach under GDPR.
Data transfers
To the extent possible, GlassHive shall only transfer or authorize the transfer of Data to countries within Switzerland, the EU and/or countries subject to an adequacy decision, as provided for in art. 45 GDPR and art. 16 Swiss FADP. If Personal Data processed under this Agreement is transferred from Switzerland or any country within the EU or any country subject to an adequacy decision to a country outside of this scope, the Parties shall ensure that the Personal Data are adequately protected. To achieve this, the Parties shall, unless agreed otherwise, rely on Switzerland- and/or EU- and/or UK- approved and then-current standard contractual clauses for the transfer of Personal Data or other transfer mechanisms as provided for by Data Protection Laws. GlassHive shall be authorized to perform such transfers to Subprocessors provided that adequate safeguards are implemented with regards to the nature of the transfer.
Liability
The Customer is responsible for ensuring that Personal Data provided to GlassHive is lawful, accurate, and in compliance with applicable laws.
