Privacy Policy

Perusall takes privacy very seriously and we protect the information you provide to us by using industry-standard technical and organizational safeguards. Here are the key points:
We only collect personal data when needed to provide the Perusall service. We intentionally avoid collecting data that does not directly serve a purpose for teaching and learning or internal product development.
We only share personal data when it is necessary to provide the service. We share data only with your institution and with selected vetted, trusted, and established vendors that help us provide the service to you.
We never sell your personal data. Perusall is not in the business of making money from your personal data (we make money when students purchase books or other materials through the platform or when your institution purchases special services from us).
This Privacy Policy describes the data protection practices of Perusall LLC ("Perusall," "we," "us," or "our"). This Privacy Policy applies to information that we collect and use about you when you access or use the Perusall platform (directly at app.perusall.com, or through an integration with your institution's Learning Management System). We refer to these products and services collectively as the "Services."

The Information We Collect
We obtain information about you through the means discussed below when we provide the Services. Please note that we need certain types of information to provide the Services to you. If you do not provide us with such information, or if you ask us to delete that information, you may no longer be able to access or use certain Services.
Information You Provide to Us
We collect information that you provide directly to us through:
The Services you use;
Requests or questions you submit to us via online forms, email, or otherwise;
Account registration and administration of your account;
Uploads or posts to the Services; and
Requests for customer support and technical assistance.
Information about you
Certain parts of the Services may not require you to provide any information that can directly identify you by name (such as if you browse the website without logging in). Others may require information that can directly identify you. The specific types of information we collect will depend upon the Services you use, how you use them, and the information you choose to provide.
The types of data we collect directly from you includes:
Registration Information: When you register for an account on the Services, we collect your name, email address, and password. If you sign up through a third-party account like Google or Facebook, we do not collect a password (unless you wish to add one to your account), but instead collect information that allows us to link your third-party account with your Perusall account. We also collect information about the institution, as well as information about the course or group.
Course Information: If you add a class or group, we collect general information you provide about that course and any additional information that you post, including announcements, syllabi, resources, homework assignments, lecture notes, and links.
User Profile Information: The Services offer you the option of providing additional information about yourself to create a profile ("Profile"), including but not limited to a photo or other profile picture. This "Profile Information" may be viewable by other Perusall users. Accordingly, you should not put sensitive or other information you would not want made available to others in your Profile.
Posts, Messages, and other User-Generated Content: The Services allow you to post content and interact with other Perusall users. We collect any messages to other Perusall users (Messages) and other content you choose to post in the Services (User Content or UGC). For example, you can ask and answer questions about the book you are reading, or chat with classmates about the course.
User Requests: If you submit a question, information request, or support request to us via email or through the Services (Request), we receive the Request and your associated contact information.
Payment Information: If you purchase access to a book within Perusall, we collect certain payment information, including your purchase selections, and credit card and other billing name and address details for the purposes of sales tax collection, accounting, and recordkeeping. However, your sensitive credit card data is sent directly to our payment processor and is never sent to Perusall; Perusall and our payment processor are PCI compliant.
Information about others
If you invite another person to join the Services, we collect their email address to send an invitation to use the Services and create an account. We may also collect institution and class or group information to invite students or instructors to enroll in that class or group on the Services.
Information We Collect from Others
Universities or instructors may provide us information about courses, instructors, and students that will use the Services through an integration with a Learning Management System ("LMS"), in which case we collect users' names, email addresses, course roles, and other internal user and course data sent by the LMS through a standard LTI integration and the API from your LMS.
Our payment processor provides us with information about the details of credit card transactions you initiate through the Service to allow us to provide support to you, to prevent fraudulent transactions, and to ensure proper functioning of our system. For example, our payment processor informs us whether the transaction succeeded, or why it failed.
Information We Collect Automatically
When you use our Services, we collect certain information automatically as described in this Section. When you use our website, we collect and analyze information such as your IP address, browser information, operating system, the state or country from which you accessed the Services, the URLs you access on our site, the kind of device you have, and your behavior inside our website.
How We Use Information Collected
We use the information that we collect through our Services for a variety of purposes, including:
to provide you with the Services;
to communicate with you and allow you to communicate with other users;
to notify you in the Services and through email about new features and digests of activity;
to enable users to communicate and interact;
to manage and remember your preferences,
to analyze and improve the Services;
as we determine to be necessary or required to ensure the safety and/or integrity of our users, employees, third parties, members of the public, and/or our Services;
to help prevent fraud and enforce our and our publishers' legal terms; and
to administer and troubleshoot the Services.
How We Protect Your Information
Perusall implements technical, administrative, and physical safeguards to protect the information provided via the Services from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. However, no Internet or email transmission is ever fully secure or error free.
Our Legal Bases for Use of Your Information
The laws of some jurisdictions such as the laws of the European Union ("EU") require data controllers to tell you about the legal ground that they rely on for using, sharing, or disclosing your information. To the extent those laws apply, our legal grounds are as follows:
Contractual Commitments: We may use, share, or disclose information to honor our contractual commitments to you. For example, to comply with our Terms of Service, which you accept by browsing or otherwise using our Services.
With Your Consent: Where required by law, and in some other cases, we use, share, or disclose information on the basis of your consent.
Legitimate Interests: We use, share, or disclose information as necessary to provide you with the Services. We pledge that our legitimate business interests in collecting and using this information will not override the fundamental rights and freedoms of the affected individuals.
Legal Compliance: We need to use, share, and disclose information in certain ways to comply with our legal obligations.
Online Analytics
We collect analytics about user behavior to help us understand how people use Perusall. No cookies are used for this purpose, and Perusall has no access to users' browser activity outside of the Perusall platform. This data is only used for internal metrics, operational support, and product development purposes and is never shared externally except in de-identified aggregate.
Perusall contains no advertising.
If you are an instructor and receive email from us with a free examination copy provided by a publisher, we may use certain analytics tools, such as clear GIFs, to capture data such as when you open our message or click on any links or banners our email contains. This data allows us to gauge the effectiveness of our communications. No other emails, including emails to students, contain any tracking technology.
How We Share Information
We may share or disclose information in the following ways:
With Other Users: Certain features of our Services make it possible for you to share User Content, Profile Information, Messages or other information with other users. You can control this sharing through settings available in the Services. If you do not restrict others from viewing such information, that information is not confidential. We cannot control how others will use the information you make available. Please note that anonymous posts are identifiable to instructors and institutions, and that we may re-identify anonymous posts and share when we believe in good faith that doing so is necessary or appropriate for the limited purposes of protecting the safety of our users or third parties.
With Your Institution: When you create or join a course associated with an institution, we share information about you and your course with authorized administrators at your institution.
Service Providers: We provide access to or share your information with select third parties who perform services on our behalf. They have access to perform these services but are prohibited from using your information for other purposes. They provide a variety of services to us, including data storage, analytics, billing, marketing, customer service, security, fraud prevention, and legal services.
Protection of Perusall and Others: We may share or disclose certain information if we believe in good faith that doing so is necessary or appropriate to (i) protect or defend the rights, safety, or property of Perusall or third parties, including to defend or enforce our Privacy Policy, our Terms, or any other contractual arrangement or (ii) to respond to claims that content violates the rights of third parties; (iii) respond to your requests for customer service; and/or (iv) protect the rights, property or personal safety of Perusall, its agents and affiliates, its employees, users and/or the public.
Legal Requirements: We may share or disclose certain information if we believe in good faith that doing so is necessary or appropriate to comply with any law enforcement, legal, or regulatory process, such as to respond to a warrant, subpoena, court order, or other applicable laws and regulations.
With Your Consent / At Your Direction: We also may share or disclose your information with your consent or at your direction.
Aggregate/Anonymous Information: From time to time, we may share non-personally identifiable Aggregate and/or Anonymous Information about the use of the Services, such as by creating reports on usage trends.
How Long We Keep Information
We retain information for only as long as needed to operate and improve the Services. To dispose of any personal data, we may anonymize it, delete it or take other appropriate steps. Information may persist in copies made for backup and business continuity purposes for an additional period of time. Perusall will always respect the right of users to remove their data from our system upon request.
Your Choices
You have certain rights and choices with respect to your information such as:
Profile Information, Notification Preferences & Settings: You may update or correct your Profile Information and notification preferences at any time by logging in to your account and click Edit Profile or Manage Notifications. You may control who may view your Profile Information through the Services.
Marketing Communications: You can decline promotional communications at the point information is requested or, by following the unsubscribe instructions on communications sent to you. You can also contact us as described in the "How to Contact Us" section below.
Your Legal Rights Under Local Law: Your local laws (e.g., laws of the EU) may permit you to request that we:
provide access to and/or a copy of certain information we hold about you;
prevent the processing of your information for direct-marketing purposes; (including any direct marketing processing based on profiling)
update information which is out of date or incorrect;
delete certain information that we are holding about you;
restrict the way that we process and disclose certain of your information;
transfer your information to a third-party provider of services; and
revoke your consent for the processing of your information.
Please note, however, that certain circumstances (for example, complying with legal obligations) may supersede such requests. We may request you provide us with information necessary to confirm your identity before responding to your request.
To exercise any of these rights, please contact us as described in the "How to Contact Us" section below. In addition to those rights, you have the right to lodge a complaint with the relevant supervisory authority. However, we encourage you to contact us first, and we will do our very best to resolve your concern.
Compliance with National and International Privacy Laws
Our Services are operated in the United States. If you are located outside of the United States, please be aware that any information you provide to us will be transferred to and/or accessed within the United States. Perusall operates in accordance with the law of the United States of America (including the Family Educational Rights and Privacy Act (FERPA)) and, when applicable, the General Data Privacy Regulation (Regulation (EU) 2016/679, or GDPR), the Personal Information Protection and Electronic Documents Act (PIPEDA), and the Australian privacy laws.
Perusall is subject to the investigatory and enforcement powers of the Federal Trade Commission (FTC) which has jurisdiction over Perusall's compliance with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF).
Data Privacy Framework (DPF)
Perusall complies with the EU-U.S. Data Privacy Framework (EU-U.S. DPF) and the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF) as set forth by the U.S. Department of Commerce. Perusall has certified to the U.S. Department of Commerce that it adheres to the EU-U.S. Data Privacy Framework Principles (EU-U.S. DPF Principles) with regard to the processing of personal data received from the European Union and the United Kingdom in reliance on the EU-U.S. DPF and the UK Extension to the EU-U.S. DPF. Perusall has certified to the U.S. Department of Commerce that it adheres to the Swiss-U.S. Data Privacy Framework Principles (Swiss-U.S. DPF Principles) with regard to the processing of personal data received from Switzerland in reliance on the Swiss-U.S. DPF. If there is any conflict between the terms in this privacy policy and the EU-U.S. DPF Principles and/or the Swiss-U.S. DPF Principles, the Principles shall govern. To learn more about the Data Privacy Framework (DPF) Program, and to view our certification, please visit the DPF program web site.
In compliance with the EU-U.S. DPF and the UK Extension to the EU-U.S. DPF and the Swiss-U.S. DPF, Perusall commits to resolve DPF Principles-related complaints about our collection and use of your personal information. EU and UK individuals and Swiss individuals with inquiries or complaints regarding our handling of personal data received in reliance on the EU-U.S. DPF and the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF should first contact Perusall at [email protected].
In compliance with the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF, Perusall commits to refer unresolved complaints concerning our handling of personal data received in reliance on the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF to JAMS, an alternative global dispute resolution provider with corporate headquarters in California. JAMS has over 400 neutrals, locations throughout the United States, and locations serving the European Union, the United Kingdom, and Switzerland. JAMS services pursuant to this section are provided at no cost to you.
If you do not receive timely acknowledgment of your DPF Principles-related complaint from us, or if we have not addressed your DPF Principles-related complaint to your satisfaction, you can find additional information about JAMS and how to file a JAMS complaint at the JAMS dispute resolution web site.
You may invoke binding arbitration under certain conditions for complaints regarding DPF compliance that are not resolved by any of the other DPF mechanisms described above. You can find additional information about binding arbitration in Annex 1 of the DPF Principles.
Onward Transfers to Third Parties
Perusall is responsible for the processing of personal information it receives under the DPF Principles and subsequently transfers to a third party acting as an agent on its behalf. Perusall shall remain liable under the DPF Principles if its agent processes such personal information in a manner that is inconsistent with the DPF Principles unless the organization proves that it is not responsible for the event giving rise to the damage.
Your California Privacy Rights
California law permits users who are California residents to request and obtain from us once a year, free of charge, a list of the third parties to whom we have disclosed their personally identifiable information (if any, and as defined by California law) for their direct marketing purposes in the prior calendar year, as well as the types of personally identifiable information disclosed to those parties. Perusall does not share your personally identifiable information with third parties for their own direct marketing purposes without your consent.
Under the California Consumer Privacy Act ("CCPA"), California residents have the right to know what personal information about them is collected, request deletion of their personal data, opt-out of the sale of their personal data, and not be discriminated against if they choose to exercise any of these rights. Perusall does not share any of the data we collect about you with third parties, except in accordance with the "How We Share Information" section above.
Children's Privacy
The Services are not intended for children under the age of 13. If we become aware that we have inadvertently collected "personal information" (as defined by the United States Children's Online Privacy Protection Act) from children under the age of 13, children under the age of 14 in Spain or South Korea, or from an EU resident under the age of 16 without parental consent, we will take reasonable steps to delete it as soon as possible. We also comply with other age restrictions and requirements in accordance with applicable local laws.
Cookies Notice
A cookie is a small text file stored by a website in a user's web browser. Cookies are used only to the extent necessary to provide the Services to you. They are not used for analytics, advertising, or anything else.
Links to Other Websites and Services
The Services contain links to third-party websites or services. We are not responsible for the content or practices of those websites or services. The collection, use, and disclosure of your information will be subject to the privacy policies of the third-party websites or services, and not this Privacy Policy. We urge you to read the privacy and security policies of these third parties.
Changes to Our Privacy Policy
We may change this Privacy Policy to reflect changes in the law, our information practices or the features of the Services. At the top of our Privacy Policy, we will indicate the date of the most recent update. If we make a material change to the Policy, you will be provided with appropriate notice in accordance with legal requirements. By continuing to use the Services, you are confirming that you have read and understood the latest version of this Privacy Policy.
Limitations on Non-Production Environments
Perusall maintains non-production environments for purposes such as internal development, feature previews, testing, and evaluating third-party integrations. These environments must not connect to any third-party production systems and must not store or receive sensitive or personally identifiable information. All data in non-production environments is considered temporary and may be deleted by Perusall at any time without notice. The provisions of this Privacy Policy apply only to Perusall's production environment and do not extend to non-production environments.
