Introduction By visiting, viewing, using, or accessing our applications, platforms, storefronts, marketplaces, functionalities, content, materials, or other online services provided by or through Skillable “Services”), whether as an authorized user of a Skillable customer, a guest or a user registered directly with Skillable, you are agreeing to the following terms and conditions (“Terms of Use”). All definitions in these Terms of Use apply both to their singular and plural forms, as the context may require. Provision of different Services are subject to any specific terms that are presented or communicated to you in connection with such Services. To the extent that you have entered into another agreement with Skillable or that your use of any Services is governed by another agreement with Skillable that contains terms that directly conflict with any of these Terms, then the terms set forth in such other agreement will control to the extent of such conflict and in relation to those particular Services. Get notified These Terms of Use as may be amended from time to time, together with any documents, policies, or terms they incorporate by reference (collectively, “Terms”) are between you and Hands-On Learning Solutions LLC, d.b.a. Skillable, a Delaware limited liability company (“Skillable”, “we”, “our” or “us”). The terms “you” and “your” as used herein refer to, as applicable, the individual visiting, viewing, using, or accessing any Service. IMPORTANT. PLEASE READ THESE TERMS OF USE. YOU ACKNOWLEDGE AND AGREE THAT, BY VISITING, VIEWING, USING, OR ACCESSING ANY SERVICE, THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO (A) BE BOUND BY THESE TERMS, IRRESPECTIVE OF WHETHER YOU ARE AN AUTHORIZED USER, GUEST OR A REGISTERED USER, AND (B) COMPLY WITH ALL APPLICABLE LAWS, REGULATIONS, RULES, TREATIES, DIRECTIVES, AND ORDINANCES ASSOCIATED WITH YOUR USE OF THE SERVICES (COLLECTIVELY, “APPLICABLE LAWS”). IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU MAY NOT ACCESS OR USE THE SERVICES, WHICH ARE EXPRESSLY CONDITIONED UPON YOUR ASSENT TO ALL OF THE TERMS. You may use the Services only if you (i) have reached the age of majority in your jurisdiction, (ii) can enter into a binding agreement with Skillable, (iii) are not identified on any applicable sanctions-related list of designated persons, which include those maintained by the United States, member countries of the European Economic Area, the European Union, the United Kingdom, Switzerland, and the United Nations Security Council, such as the U.S. Department of the Treasury’s Office of Foreign Assets Control’s list of Specially Designated Nationals and Blocked Persons List, the European Union’s Consolidated List of Persons, Groups, and Entities Subject to European Union Financial Sanctions, and the United Kingdom’s HM Treasury’s Consolidated List of Sanctions Targets, and (iv) are not located in (x) any country prohibited by the government trade restrictions or other applicable or similar laws of the United States or the United Kingdom, and/or (y) Belarus, Cuba, Iran, North Korea, Russia, Syria, Sudan, and the Crimea, Donetsk, Russian Federation, or Luhansk regions of Ukraine. Any offer for any product, service, and/or information made in connection with the Services is void where prohibited. 2. Services Skillable acts as the provider of the Services, or facilitates access to Services provided by third parties. Listings and ads on our websites are not binding offers to provide Services. They may contain errors or out of date information and they are subject to availability. Skillable does not endorse any third-party product or service advertised, reviewed, mentioned, or linked to. 3. Personal Information and Privacy Processing of information you provide to Skillable or that we obtain through your use of the Services or communications with us is governed by our Privacy Policy found at https://www.skillable.com/privacy/ (“Privacy Policy”). Where Services are provided by third parties, they may have privacy policies and practices which differ from ours, which we advise you to read and agree to before using those Services. You agree that all information you provide to Skillable through or in connection with the Services is correct, current, and complete. 4. Services Content All rights in the Services and all their content, including trademarks, symbols and slogans, text, data, databases, code, still or moving images, audio-visual content, graphics, designs, and layout, whether or not registered, are owned by Skillable or by Skillable’s third-party licensors, and are protected by Applicable Laws. Third-party trademarks may be used on the Services for identification purposes and are owned by those third parties. You must not copy, reproduce, adapt, store, transmit to any third party, exploit or otherwise use any item contained on the Services in any way, except as necessary for normal website browsing or in accordance with any applicable license terms. Copyright and authorship notices must not be removed, hidden, modified, or otherwise interfered with. You must not create any hypertext links, frames, or any other links between the Services and any other site without Skillable’s written permission. Except as expressly permitted, you must not copy, “scrape”, adapt, re-publish, or resell any part of the Services. 5. Usage Restrictions As a condition of using the Services, you agree to the following usage restrictions. (a) User Obligations. You agree that when using any Service you will: (i) comply with all Applicable Laws (including without limitation any laws regarding the export of data or software to and from the U.S. or other countries); (ii) respect all rights of third parties (including without limitation copyright, other intellectual property rights, rights in confidential information and trade secrets, and rights of privacy and publicity) (collectively, “Third-Party Rights”); (iii) provide true and accurate information to us and keep it updated; and (iv) only use the Services in compliance with any applicable license or services agreement and these Terms. (b) Prohibited Conduct. You agree that when using any Service you will not: (i) reproduce, redistribute, transmit, assign, sell, broadcast, share, modify, create derivative works of, license, capture, save, upload, print, or otherwise transfer or retain information or any intellectual property or content available within or through the Services, except to the extent you have been granted the express right to do so or for your personal, non-commercial use; (ii) manually or systematically harvest, scrape, collect or otherwise extract information or data contained in or used by any Service; (iii) permit or provide others unauthorized access to any Service that is not freely available to all users; (iv) remove or modify any copyright, trademark, legal notices, or other proprietary notations from any proprietary materials in the Services; (v) violate or attempt to violate any security mechanisms, attempt to gain unauthorized access to any Service that is not freely available to all users, or assist others to do so; (vi) post any illegal, inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, infringing, discriminatory, defamatory, or libelous content, or any content that infringes or violates any Applicable Laws, Third-Party Rights, or Skillable’s or the relevant service provider’s applicable policies or instructions; (vii) use or attempt to use the Services to store or transmit software viruses, worms, Trojan horses, or any other computer code, files, or programs designed to interrupt, damage, or limit the functionality of any computer software, hardware, or telecommunications equipment; and/or (viii) use the Services in any manner that could disable, overburden, damage, or impair the Services, interfere with any other party’s use of the Services (including without limitation their ability to engage in real-time activities through the Services), or otherwise attempt to interfere with the proper working of the Services. (c) Restricted Use of Services. We reserve the right to monitor use of the Services and to suspend, revoke, deny, disable, or terminate your access if you violate any provisions of these Terms or the terms of any other applicable license or service agreement. 6. Representation, Warranties and Covenants (a) Your Representations and Warranties. You represent and warrant that you are solely responsible for (i) all service, Internet access, data, and other charges, fees, and costs, and (ii) maintaining all Internet, browser software and extensions, computer hardware, telephone, and other equipment, in each case as required for or associated with your access to and use of the Services. (b) Content. The content and materials presented on or through the Services are made available solely for general information purposes. We do not warrant the accuracy or completeness of such content or materials. Any reliance you place on such content or materials is strictly at your own risk. We disclaim all liability and responsibility arising from or related to any reliance placed on any content or materials by you or any other user of the Services, or by anyone who may be informed of any of its contents or materials. The Services may include content provided by third parties, including materials provided by other users, or third-party licensors. All statements and opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Skillable, are solely the opinions and the responsibility of the person or entity providing those materials. We are not responsible or liable to you or any third party, for the content or accuracy of any materials provided by any third parties, and use of any services provided by third parties is subject to their policies and at your own risk. (c) Implied Terms; Availability of Services. Skillable does not warrant that the content or functions of the Services will meet your specific requirements or that the operation of the Services will be uninterrupted or error free. You recognize that the traffic of data through the Internet may cause delays during your use of or access to the Services. You further acknowledge and accept that the Services may not be available on a continuous 24-hour basis due to such delays, delays caused by our upgrading, modification, or standard maintenance of the Services, or any delays outside of our control. Subject to any applicable license terms, Skillable excludes all representations, warranties, and implied terms in relation to the Services, including without limitation that they will be accurate, complete, non-infringing, of a particular quality, up-to-date, or free from viruses or other harmful code. (d) Non-Skillable Products. Except as expressly agreed in any service-specific terms in each case, you acknowledge and agree that Skillable will not be responsible for any non-Skillable products or services, even if provided or accessed through or capable of use or approved for use with the Services, including any advice received, or any use, disclosure, modification, or deletion of user content or personal information by or through such non-Skillable products. 7. Modifications Skillable may revise and update these Terms at any time. When using our Services you should check this page for the latest version. Your continued usage of the Services after any changes to these Terms will mean that you accept those changes. Any aspect of the Services may be changed, supplemented, deleted or updated without notice at the sole discretion of Skillable or the third-party service provider. Except as otherwise provided in any applicable license or service agreement, Skillable may establish or change, at any time, general practices and limits concerning other Skillable products and services in its sole discretion. 8. Governing Law Unless otherwise established by any applicable license or service agreement, these Terms shall be construed under and controlled by the laws of the State of Florida, without regard to conflicts/choice of laws principles. In the event of any controversy or claim arising out of the Services or these Terms including contractual or non-contractual claims, the parties agree to the exclusive jurisdiction of the state and federal courts located in Pasco County, Florida, and that the provisions of the United Nations Convention on Contracts for the International Sale of Goods do not apply to these Terms. 9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND IN ADDITION TO ANY OTHER LIMITATION IN THESE TERMS, SKILLABLE AND ITS SUBSIDIARIES, AFFILIATES, LICENSORS, AND ITS AND THEIR PARTNERS, OFFICERS, DIRECTORS, SHAREHOLDERS, MANAGERS, MEMBERS, EMPLOYEES, CONSULTANTS, AND AGENTS (COLLECTIVELY, “SKILLABLE ENTITIES”) ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, GOODWILL, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF, OR IN CONNECTION WITH, YOUR ACCESS AND/OR USE OF THE SERVICES OR CONTENT THEREIN, EVEN IF THE SKILLABLE ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY REMEDY PROVIDED HEREIN, THE MAXIMUM LIABILITY OF THE SKILLABLE ENTITIES, UNDER ANY CAUSE OF ACTION OR THEORY, IS $50. 10. General Skillable operates in the field of education and skills development and assessment for professionals and businesses. The Services are not directed or provided to children, consumers, or individuals acting outside of their trade, business, craft, or profession. If any provision of these Terms is or becomes illegal, invalid or unenforceable, that shall not affect the legality, validity or enforceability of the other provisions. Any failure or delay by Skillable to exercise any right or enforce any provision of these Terms shall not operate as acceptance of any breach, or a waiver of that (or any other) right or provision. Subject only to any other specific terms applicable to the Services, these Terms override any other discussions, documents, or other indications given in relation to the Services in any webpages or by telephone, email, chat, messaging, or any other method. 11.
