The information provided by this Service is generated by artificial intelligence and may contain errors, inaccuracies, hallucinations, or outdated information. You (the user) assume full responsibility for verifying all citations, formulas, and specifications against official source documents before use in any real-world application.
Engineering decisions based on Service outputs are made entirely at your own risk.
1. Acceptance of Terms
By accessing or using Praxian Labs (the “Service”), operated by Praxian Labs, Inc., a Delaware corporation (“Praxian Labs,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
2. Eligibility
To use the Service, you must:
Be at least 18 years of age
Be located in the United States
Have the legal capacity to enter into a binding agreement
By using the Service, you represent and warrant that you meet these eligibility requirements.
3. Service Availability and Changes
You acknowledge that the Service is provided on the following basis:
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.
We do not guarantee that the Service will be uninterrupted, secure, or error-free.
Features may change, and the Service may be modified or discontinued at any time without notice.
You may encounter bugs, incomplete features, or service interruptions.
These Terms govern self-serve and early-access use of the Service. Organization deployments are governed by a separate written agreement (a master services agreement and order form, with a data processing addendum where applicable), which supersedes these Terms for that customer, including the limitation of liability in Section 10. If your organization has such an agreement with us, it controls.
4. Description of Service
Praxian Labs is an AI-powered assistant designed to help users search and retrieve information from civil engineering specifications and technical documents. The Service also lets you upload your own documents into My Documents, organize them into notebooks, and share them with your colleagues within an organization. The Service uses artificial intelligence technology provided by OpenAI and Google to process queries, parse uploaded documents, and generate responses with citations.
5. Account Registration and Organizations
To use the Service, you must create an account by signing in with Google, Microsoft, or email magic link via WorkOS AuthKit. You are responsible for:
Maintaining the confidentiality of your account
All activities that occur under your account
Providing accurate information
Notifying us immediately of any unauthorized use
Your account may belong to an organization (for example, your firm). Within an organization, owners and admins can manage membership and roles. Your documents and other resources remain private to you unless you explicitly share them with your organization; sharing and membership are always explicit actions and are never inferred from your email domain. You are responsible for ensuring you have the right to share any content you make available to your organization.
6. Acceptable Use
You agree to use the Service only for lawful purposes. You agree NOT to:
Use the Service for any illegal activity or to violate any laws
Input sensitive personal information (SPI), HIPAA-protected health data, or classified government information into the chat
Attempt to extract harmful, dangerous, or illegal content from the AI
Use automated systems, bots, or scripts to access the Service without permission
Scrape or bulk-download content from the Service
Attempt to circumvent any security measures or access controls
Interfere with or disrupt the Service or servers
Misrepresent AI-generated outputs as human-generated professional engineering advice
Use the Service to harass, abuse, or harm others
Upload or share any document you do not own or have the right to use and share, or that infringes any third party’s intellectual property, privacy, or other rights
Upload any file containing malware, or any content you do not have the right to upload to and process in a third-party service
Reverse engineer, decompile, or attempt to extract the source code or database content (including vector embeddings)
7. AI-Generated Content Disclaimers
Important: Please read this section carefully.
The Service uses AI to generate responses. AI outputs may contain errors, inaccuracies, hallucinations, or outdated information.
The Service is NOT a substitute for professional engineering judgment. Always verify information with authoritative sources and consult qualified professionals before making engineering decisions.
We do not guarantee that AI outputs are accurate, complete, current, or suitable for any particular purpose.
You are solely responsible for evaluating and verifying any information provided by the Service before relying on it.
Engineering decisions based on Service outputs are made at your own risk.
8. Intellectual Property
Your Content and Uploaded Documents
You retain ownership of the queries, inputs, and documents you provide to the Service. By using the Service, you grant us a limited license to host, process, parse, index, and store your inputs and uploaded documents in order to provide the Service (including generating searchable text and embeddings), and, where you choose to share a document with your organization, to make it available to that organization’s members. We do not use your content to train AI models. You represent that you have the rights necessary to upload and share any content you provide.
As between you and Praxian Labs, you own the responses the Service generates for you (“Outputs”), and we assign to you whatever rights we may have in them. Outputs are generated by AI from your inputs and from source documents owned by their publishers, so ownership as between you and us does not by itself give you rights in any underlying third-party material, and similar or identical Outputs may be generated for other users. Section 7 continues to apply: you are responsible for verifying Outputs before relying on them.
Service Content
The Service, including its design, features, code, methodology, and underlying technology, is owned by Praxian Labs, Inc. and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.
Source Documents
The engineering specifications and documents indexed by the Service are owned by their respective publishers (e.g., state DOTs, government agencies). Praxian Labs indexes public sector documents and does not claim ownership of these underlying regulations. The Service provides excerpts and citations for informational purposes. For official documents, always refer to the original sources.
9. Third-Party Services
The Service relies on third-party services including OpenAI, Google, WorkOS, and Amazon Web Services. Your use of the Service is also subject to these providers’ terms:

10. Limitation of Liability
To the maximum extent permitted by law:
No Liability for Engineering Errors: Praxian Labs, Inc. shall not be liable for any damages, structural failures, construction delays, project cost overruns, or financial losses resulting from your use of or reliance on the information provided by the Service.
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.
We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
We are not liable for any decisions made or actions taken based on information provided by the Service.
Liability Cap: Our total liability to you for all claims arising from your use of the Service shall not exceed the greater of: (a) the amount you paid us in the past six (6) months, or (b) one hundred dollars ($100.00).
11. Indemnification
You agree to defend, indemnify, and hold harmless Praxian Labs, Inc., its officers, directors, employees, agents, representatives, and affiliates from any claims, damages, losses, liabilities, judgments, awards, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Any engineering designs, specifications, or professional work you create using data from the Service
12. Account Termination
We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may delete your account at any time through the Settings page. Upon termination, your right to use the Service will immediately cease.
13. Modifications to Service and Terms
We reserve the right to modify or discontinue the Service at any time without notice. We may also update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service. Your continued use after changes constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Texas, and you consent to personal jurisdiction in those courts.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
