Terms of Service

1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and SPUMA Labs ("we," "us," or "our"), concerning your access to and use of the GRC Organizer platform.
By accessing the service, you agree that you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these terms, then you are expressly prohibited from using the site and must discontinue use immediately.
2. Compliance, Advisory & Legal Disclaimer
GRC Organizer and SPUMA Labs advisory services are management tools and consulting resources, not a CPA firm or legal advisor.
While our platform and consulting services are designed to assist with frameworks such as SOC 2, HECVAT, and TX-RAMP, using our software or engaging our advisory services does not automatically guarantee compliance, certification, or an exception-free audit report. SPUMA Labs does not issue formal CPA attestation opinions or legal counsel. You acknowledge that you are solely responsible for:
The accuracy of the evidence and artifacts you upload.
Your organization's execution and adherence to its own internal controls and policies.
The final interpretation of regulatory and audit requirements applicable to your specific organization.
3. Account Security & Access
Access to GRC Organizer is secured via Cloudflare Zero Trust authentication. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
You agree to notify [email protected] immediately of any unauthorized use of your account.
You may not share your login credentials with third parties.
We reserve the right to suspend accounts that exhibit suspicious login behavior or potential compromise.
4. Intellectual Property Rights
Our IP ( The Platform )
Spuma Labs retains all rights, title, and interest in the GRC Organizer code, design, logos, and underlying infrastructure. You are granted a limited, non-exclusive, non-transferable license to use the tool.
Your IP ( The Evidence )
You retain full ownership of all data, documents, and evidence ("Customer Data") you upload to the system. We claim no ownership over your compliance artifacts.
5. Prohibited Activities
You may not access or use GRC Organizer for any purpose other than that for which we make the site available. Specifically, you agree not to:
Unauthorized Testing: Conduct vulnerability scanning, penetration testing, or load testing against our infrastructure without express written permission (to prevent triggering AWS/Cloudflare defensive measures).
Reverse Engineering: Attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising the site.
Data Scraping: Use automated scripts to harvest data from the platform.
6. Limitation of Liability
In no event will Spuma Labs or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site.
Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the prorated amount of fees allocable to the three (3) month period prior to any cause of action arising (whether paid monthly, as a lump-sum deposit, or as part of an annual prepayment).
7. Governing Law
These Terms shall be governed by and defined following the laws of the Commonwealth of Massachusetts. Spuma Labs and yourself irrevocably consent that the courts of Massachusetts shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
