WellSky Corporation and its affiliates (“WellSky”, “we”, “us” or “our”) provides this website. WellSky is committed to protecting the privacy of your information. We believe it is a good business practice to disclose to you how your personal information and activity on the website www.wellsky.com and its subpages and content (collectively, the “Site”) may be used. This Privacy Policy describes how WellSky collects and uses the personal information you provide on, and other information that is collected from your use of the Site. It also describes the choices available to you regarding our use of your personal information and how you can access and update this information. Note that this Privacy Policy reflects the collective policies and practices applicable to all WellSky Sites and some of the policies and practices described may not apply to this Site if the relevant services are not available on this Site.
“Personal Information” means information that is individually identifiable. Information that has been de-identified by WellSky or others is no longer personal information and is not covered by the terms of this Privacy Policy.
As a user of this website, or the services or products available through the Site (collectively, “Service(s)”) provided by WellSky, this Privacy Policy set forth herein (this “Privacy Policy”) is intended to describe in a straight-forward and easily understandable manner:

how you may update the information you provide us;
how you may contact us; and
your choices about our uses and disclosures of your information.
We will use and disclose your personal information as stated in this Privacy Policy. As noted in the Terms of Use applicable to the Site (the “TOU”), by using the Site and/or Services you accept and acknowledge that you are bound by this Privacy Policy. Information We Collect
Information from Our Clients
The majority of the information we receive is provided directly by consumers, which includes voluntary submission of their name and email. We do not obtain protected health information by or on behalf of our clients, which include, but are not limited to, health plans, health care providers, personal care providers, and other organizations to provide our Services. If we receive information on behalf of our clients, our use and disclosure of that information is governed by the client agreement and the client’s privacy notice. To the extent the client agreement or client’s privacy notice differ from this Privacy Policy, the terms of the client agreement and client’s privacy notice shall apply to the information held on behalf of the client.
Site Visitor Data
In addition to web logs, described below, WellSky routinely gathers data on Site activity, such as how many people visit the Site, the web pages or mobile screens they visit, where they come from, how long they stay, etc. This data helps us improve our content and overall usage. The information is not shared with other organizations for their independent use.
Data Caching
To ensure a good user experience, certain data may be temporarily or permanently cached by the Site on users’ devices.
Information from You
We collect information submitted by users so we can continue to provide and improve our Services to Site users. The information collected directly by WellSky through the Site may include items such as your name, e-mail address, mailing address, phone number, industry type, and as well as other information that may or may not specifically identify you. The information collected on the Site may be stored at servers, computers, or other media located in or outside the United States.
Third-Party Sources
We may obtain personal and non-personal information about you from other third-party sources. This information may be utilized, analyzed, and/or compared with information that we have collected from you or that you have submitted to the Site. Such third parties may include but are not limited to our third-party partners and Google. If WellSky obtains information from third-party sources, WellSky takes commercially reasonable measures to ensure the third parties lawfully obtained and provided the information to us.
WellSky does not control those applications or websites, or application or website providers and is not responsible for the integrity, privacy, security or breach of data transferred to, or stored in the application or website, or the use or disclosure of data by the application or website, or the application or website provider once the data are released by WellSky. We encourage you to carefully review the terms of use and privacy policy and settings that apply to these third-party applications and websites and approve release of any data only to those applications and websites that you trust. If the third parties unlawfully obtained and/or provided the information to us despite our reasonable measures to ensure the third parties complied with all legal requirements in obtaining and providing the information to us, you understand, agree, and acknowledge that your sole legal remedy is against the third party that engaged in the unlawful activity and that you will not assert any cause of action, claim or demand against us.
Information Collection Technology (Web Beacons and Cookies)
We may use various technologies to collect information from your electronic device about your activities on the Site. We may collect and store non-personally identifying information through cookies, log files, clear gifs (commonly known as “web beacons”), and third parties to profile user activity and preferences. Technical and specification information about your browser and computer is automatically collected when you use or visit the Site. This information may include but not be limited to your Internet Protocol (“IP”) address, your browser type, operating system, geographic location, access time(s), the content of previously accepted cookies from us, and the website address that referred you to the Site.
A cookie is data stored on your computer that tracks non-personal information about you. When you use the Site, we may assign your computer one or more cookies that enable us to improve the quality of the Services and to personalize your experience. Cookies allow us to automatically collect information about your activity on the Site, such as the content you access while on the Site, the links you click, and other activity you conduct while using the Site. You may choose to modify your web browser’s setting to disable cookies or limit their use. If you choose to disable or limit cookies, you are still able to access the Site, but you may be unable to use all of the features on the Site. In addition, we, and third-party companies we partner with, may collect and store some information in the form of log files that record website activity. For example, log file entries are generated every time a user visits a particular page or clicks an image on our Website, and collects information on how many “hits” a particular web page is getting (a.k.a. “click-through data”), the dates and times that you use the Site, the pages you visit, the amount of time spent on specific pages, and other similar usage information, and general data (including the name of the web page from which you entered our Site).
We may also use web beacons and other technologies to collect non-personally identifiable information about your use of the Site and information about your interaction with our email communications. When you open or view the content of our emails, we and the third-party companies we partner with will receive information including confirmation that the email was viewed, the time that the email was opened, the IP address of the device that was used to open the email, the type of software used to read the email, and the existence of any cookies previously sent. The purpose of our use of this technology is so that we may analyze the effectiveness of our marketing efforts, the quality of the Site, and the Services we provide.
Personal Information About Users Under 18 Years of Age Not Collected
The Site is meant for adults and those who have reached the age of majority as defined by the laws of their domicile. The Site is not meant for individuals under the age of eighteen (18) or those defined by the laws of their domicile as minors. Nonetheless, this Privacy Policy is designed to comply with the Children’s Online Privacy Protection Act (“COPPA”) to the extent COPPA applies. Accordingly, we do not knowingly collect or retain any personal information about users under the age of thirteen (13). If we obtain actual knowledge that we collected or retained personal information about a child under the age of thirteen (13), that information will be promptly deleted from our database, servers, and all other media. Since we do not collect information from users under 13 years old, no such information is disclosed to third parties.
If parents or guardians wish to create an account for, and provide information related to, their child who is under the age of eighteen (18), the parent or guardian may do so but assumes full responsibility for ensuring that the information is kept secure and that the information submitted is accurate. In creating such an account, the parent or guardian accepts that this Privacy Policy will apply to the minor child’s information.
Information Others May Collect
To enhance security and promote operational efficiency, the Site utilizes the resources of reputable hosting facilities that are controlled by third parties. WellSky is unable to provide any guarantees or warranties about these third parties’ retention or usage of your information.
Information Use and Sharing
We may use and share your information for any legally permissible purpose. We may match, use, and share any of the information we collect from you. Examples of some ways we may use or share information that we collect about you include:
providing you with products or services;
providing products or services to our clients;
providing you with customized content and services;
providing customer support;
communicating with you by e-mail, mail, telephone about products or services that may be of interest to you either from us, or from any of our affiliates, sponsors or other third parties;
compliance with applicable law;
working with our advertising partners;
enforcing the TOCs or our other terms and conditions, or otherwise managing our business;
performing functions as otherwise described to you at the time of payment collection;
internal record keeping; and
to contact you.
In order to perform certain services on your behalf, we may publish certain information that you provide. You agree that any testimonial feedback or other comments provided by you to WellSky becomes the sole and exclusive property of WellSky and that such information may be used by WellSky for any legally permissible purpose, including but not limited to marketing and advertising its services and products.
You acknowledge and agree that WellSky may use and disclose your personal and non-personal information to public or private third parties: (i) to provide products or services to you or our clients; (ii) to comply with requests for inspection by law enforcement officials (including potential criminal activity); (iii) to respond to cease and desist letters, arbitration proceedings, legal actions and suits, criminal and civil subpoenas, or any court orders; (iv) to enforce or apply the terms of this Privacy Policy or any other agreement between us, including the Terms of Use; and (v) to protect our rights, property, or safety, as well as the rights, property, or safety of our users, or others, whether during or after the term of your use of the Site or any Services.
Communications from Us
Unless you opt out of certain communication features, we may use your information to communicate with you, such as through e-mail, newsletters, and telephone. You may opt out and/or unsubscribe to communications from WellSky at any time. See the Opt-Out Provisions and Updating Your Information section below for applicable contact information and directions.
Your Information Will Not Be Sold
We will not sell any information you submit to us to any third party without prior written notice to you and an opportunity for you to opt-out of such sale, provided that we are permitted to sell your information if all or substantially all of our assets are sold as part of a merger or acquisition. However, you agree that we are able to sell aggregated and/or deidentified information that we may collect related to you and your use of the Site.
Legal Process and Investigation Issues
We may disclose personal information to any person performing audit, legal, operational, or other services for us. We will use information which does not identify the individual for these activities whenever reasonably possible. Information disclosed to vendors or contractors for operational purposes may not be re-disclosed to others by such a vendor or contractor, except as permitted by WellSky and applicable law.
Third Party Privacy Policies May Be Applicable
This Privacy Policy does not cover any client’s or third party’s use or handling of your information once it is shared. Instead, the privacy policies of the client or third party(ies) will govern. We encourage you to visit the websites of those third parties and fully read and understand their privacy policies. Some of these entities or their servers may be located outside the United States.

The Site may contain links to other websites. WellSky disclaims any responsibility for the privacy practices of third parties that may have links to or from our website, or any framed content on our website. We encourage you to review the privacy policies/statements of every website that you visit that collects personally identifiable information.
DO NOT TRACK REQUESTS
In some states, users may be entitled to know how we respond to “Do Not Track” browser settings. There is little consensus in the industry about what “Do Not Track” means; however, we recognize “Do Not Track” signals as an opt-out for the sharing of your data with third parties. We take good faith efforts to comply with any “Do Not Track” request; however, you may still need to contact any third-party companies (including those who may have cookies or beacons on the Site) to direct them to not share your data with third parties. Opt-Out Provisions and Updating Your Information
We value our users’ privacy and provide them with the option to “opt-out” of having their information used for purposes not directly related to the Site or our services for clients. The opt-out option is available at the time you sign up for your account on the Site. If you wish to change your opt-out preference or update your information after you initially sign up for your account, you can opt-out by any of the following means:

Your request will generally be responded to within three (3) business days if your request is via e-mail, or thirty (30) days if your request is via United States mail.
Please note that changing your opt-out preference will only affect future activities or communications from us. In other words, if we already provided your information to a third party before you changed your opt-out preferences, you will need to contact the third party directly. If we maintain your information on behalf of a client, that client may control the decision regarding how we handle your information. To opt-out of communications from our clients or third-party business partners, if any, please contact them directly.
Information Retention and Security
The Site has security measures in place that are intended to help protect against the loss, misuse, unauthorized access or alteration of information under our control.
We take reasonable security measures to protect users’ information against unauthorized access, loss, alteration, or destruction. These measures include encryption and physical security measures to guard against unauthorized access to systems where we store personal information, and the usage of reputable third-party vendors. Despite these reasonable measures, we cannot guarantee our security measures are impenetrable. Therefore, although we take reasonable steps to secure your information, we cannot and do not promise or warrant that your information will always remain secure.
We will retain your personal information for the period necessary to fulfill the purposes outlined in this Privacy Policy, including to meet our legal obligations, resolve disputes, and enforce our agreements, unless a longer retention period is required or permitted by law.
Visitors Outside the United States
This Privacy Policy is intended to cover collection of information on the Site from residents of the United States. If you are a resident of another country and/or are visiting the Site from outside the United States, you acknowledge and agree that your information may be transferred to, stored, and processed in the United States where our servers are located and our central database is operated. You also acknowledge that your use of the Site or the Services shall be governed exclusively by the laws of Kansas and as if all transactions with us or otherwise through the Site take place within Kansas. By using the Site, you acknowledge and agree that your information may be transferred to our facilities and those third parties with whom we share it as described in this Privacy Policy. If you are unwilling to accept these terms, then you agree that you will not use or access the Site or our services.
Privacy Policy Updates and Revisions
This Privacy Policy may be updated from time to time. We reserve the right to modify this Privacy Policy at any time without notice, so please review this Privacy Policy frequently. When changes are made to this Privacy Policy, we will revise the “last updated” date at the top of this Privacy Policy. The adoption or publication of this Privacy Policy does not subject WellSky to any stricter duty in its collection, handling, storage and disclosure of nonpublic information than otherwise applies to WellSky under applicable law. WellSky Mobile Applications Privacy Policy

Introduction & Scope
This Privacy Policy explains how we collect, use, protect, and disclose personal information when you use WellSky’s mobile applications (our “Apps”). These Apps are provided by WellSky to client healthcare provider organizations under the terms provided in our client agreements. This policy applies to any use of our Apps by individuals such as patients receiving care or staff members (like caregivers or clinicians) employed by client organizations. Please read this Privacy Policy carefully to understand our practices regarding your information. By using our Apps, you agree to the terms of this Privacy Policy.
Information We Collect
We collect personal information from and about users of our Apps in a few ways:
Information You Provide: This includes information you or your healthcare provider/employer give us when setting up or using the App. For example, you or your provider may provide your personal identifiers such as your name, contact details (like your email address or phone number), login credentials, and any information you submit through the App (for instance, messages, forms, or health information you input). If the App allows you to enter health-related information (for example, symptoms, medications, or vitals) or other personal data, that information is collected to deliver the service to you and your provider.
Information from Your Healthcare Provider or Employer: If you are using our Apps as part of services offered by a healthcare provider or another organization, that organization may share certain information about you with WellSky to enable the App’s functionality. For example, a healthcare provider might provide medical record information or appointment details for use in a patient portal app. Protected Health Information (PHI) or other sensitive data shared with us by your provider or collected through the App is handled in compliance with HIPAA and under the terms of our agreements (such as Business Associate Agreements) with the provider. This means the healthcare provider (or your employer, if they provided you access to the App) maintains primary control of your data, and we only use and disclose that data as permitted by them and by law.
Information Collected Automatically: When you use our Apps, we automatically collect certain technical information to ensure the Apps function properly and securely. This may include details such as your device identifiers (like device ID or model), operating system type, browser or app version, IP address, mobile network information, usage logs, and dates/times of access. We use this information to improve app performance, troubleshoot issues, ensure security, and analyze usage trends
Information from Cookies or Similar Technologies: Our mobile Apps may use technologies like cookies or local storage to remember your preferences and login session, or to facilitate analytics and functionality. These help us keep you logged in, load pages faster, and understand how you use our Apps (e.g., which screens are most popular) so we can improve them. You can usually control or disable these technologies through your device or app settings; however, please note that disabling them might affect certain features of the App (for example, you might need to log in more frequently if cookies are disabled).
How We Use Your Information
We use the information we collect for purposes that help us provide and improve the Apps and our services, in line with our agreements with your healthcare provider or organization. These purposes include:
Providing and Improving Services: We use your information to operate the App and provide you with the features and services it offers. We also analyze usage patterns and feedback to improve the App’s performance, fix bugs, and develop new features that enhance your experience.
Communication: We may use your contact information (such as email or in-app notifications) to send you important updates or information related to the App and the services you are using.
Compliance with Instructions and Law: If your data was provided to us by a healthcare provider or covered by a BAA, we use your personal and health information strictly as allowed by that provider and by law. We follow any instructions or restrictions given by the provider regarding your data. Additionally, we may use or disclose information as necessary to obey applicable laws or regulations – for instance, to comply with a court order or to report certain public health information as required by law.
Research and Analytics: We may use de-identified or aggregated information (which can no longer be used to identify you) to perform research, analyze usage of our Apps, or improve our products and services. For example, understanding how many users use a particular feature can help us make decisions about enhancing that feature. Any research or analytics using personal data is done in compliance with our agreements and privacy laws, and if we use health-related data, it will be de-identified unless we have proper authorization or it’s allowed by law.
How We Share or Disclose Information
We do not sell your personal information to third parties, and we do not share your personal data with third parties for their own marketing or advertising purposes. We only share your information in a few limited scenarios:
With Your Healthcare Provider or Organization: If you are using our App as part of a service from a healthcare provider or employer, the information collected through the App is shared with that provider or organization. For example, if you are a patient, the data you enter in the App (like health updates or messages) may be made available to your healthcare provider. If you are a caregiver/employee, information like your submitted visit records, time entries, or other work-related data may be shared with your employer (the healthcare provider organization). This sharing is a core part of how the App works to facilitate health services and is governed by our contract with that organization.
With Service Providers (Processors): We may share your information with trusted third-party service providers who help us run the App and deliver services on our behalf. For example, we might use cloud hosting providers to store data securely, or an analytics service to help us understand how the App is used. These third parties are bound by contractual obligations to keep your information confidential and to use it only for providing services to WellSky and not for their own purposes.
For Legal Reasons: We may disclose information if required to do so by law or if we believe in good faith that such action is necessary to comply with legal obligations or respond to valid legal process (such as a court order or government request). We may also share information as needed to enforce our rights or protect the safety of our users, our partners, or the public. This can include sharing information to detect or prevent fraud or security issues.
Business Transfers: If WellSky is involved in a merger, acquisition, restructuring, or sale of assets, your information may be transferred to the successor or new owner as part of that transaction. If that happens, we will ensure the new owner continues to protect your information in accordance with this Privacy Policy.
Protection of Your Information
We maintain safeguards to protect your personal information from unauthorized access, loss, or misuse. These include administrative, technical, and physical security measures appropriate to the sensitivity of the data.
Data Retention and Deletion
We retain personal information only for as long as necessary to fulfill the purposes described in this Privacy Policy or as required by law or our agreements with your provider/organization. When information is no longer needed for these purposes, we will securely dispose of it or de-identify it (remove personal details) in line with our internal data retention and destruction policies. These internal policies ensure that personal and health information is not kept longer than necessary and is destroyed securely when no longer needed, unless a law or a specific contract requires otherwise.
Your Privacy Rights and Choices
Because WellSky’s Apps are typically provided as a service to healthcare providers and other organizations, the way you can exercise your privacy rights may depend on your relationship with that provider or organization:
Patients Using a Healthcare Provider’s App: If you are a patient using one of our Apps through your healthcare provider, your healthcare provider’s privacy practices and notices also apply to your personal and health information. For example, under U.S. law, your healthcare provider will have a Notice of Privacy Practices describing how they handle your health information and how you can access or correct your medical records. In these cases, to exercise your privacy rights (such as accessing your medical information, requesting corrections, or getting an accounting of disclosures), you should contact your healthcare provider directly. We assist our healthcare provider clients in fulfilling these requests as needed, but because we are acting as a service provider to them, we cannot directly fulfill requests from patients for legal reasons. For instance, if you want to see or delete health information in the App, your provider will guide that process and we will help them as required.
Employees or Authorized Users of Provider Clients: If you are using our App as an employee or authorized user of a healthcare provider or other organization (for example, a care provider using a mobile app in your work), your personal information in the App (such as your profile, schedule, or work activities) is typically governed by your employer or the organization that provided you access. To exercise any data privacy rights or ask questions about your information in these cases, you should contact your organization’s administrator or privacy office. We will cooperate with our clients to address any such requests in accordance with our legal and contractual obligations.
Please note that if your information has been provided to us by a healthcare provider or other client, we cannot grant or deny access or deletion of that data without the client’s direction, due to legal requirements. You must direct any such request to the relevant client (for example, your healthcare provider or employer) and support them in responding to you.
Changes to This Privacy Policy
We may update this Privacy Policy from time to time. We encourage you to review this Privacy Policy periodically for any updates. Continued use of our Apps after a Privacy Policy update constitutes your acceptance of the revised policy.
