(“Cloud4Wi”), located at 77 Sands Street, Office 6033, Brooklyn, New York 11201, USA. By using the Site in any way, you are agreeing to comply with and to be bound by these Terms of Use and all rules, policies and disclaimers posted on the Site or about which you are notified (collectively, “Terms”). By using the Site, you agree to be bound by these Terms. If you do not agree with all of the Terms, do not use the Site. The terms “you,” “your,” and “yours” refer to you, the user of the Site. The terms “Cloud4Wi,” “we,” “us,” and “our” refer to Cloud4Wi, Inc. Permitted use of the site You may use the Site, and the information, writings, images and/or other works that you see, hear or otherwise experience on the Site (singly or collectively, the “Content”) for your internal business or personal purposes, including to learn about and evaluate Cloud4Wi products and services, and solely in compliance with these Terms of Use. Platform and service terms These Terms govern your use of the Site only. Your access to and use of the Cloud4Wi platform and services — including any free trial, paid subscription, developer or API resources, or partner program — is governed by the applicable subscription agreement, trial terms, partner agreement, or other written agreement between Cloud4Wi and you or your organization (the “Service Terms”), and not by these Terms. In the event of any conflict between these Terms and the applicable Service Terms, the Service Terms prevail with respect to the relevant services. Accounts and registration Certain areas of the Site require you to register for an account. You must provide accurate and complete registration information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, and you must notify Cloud4Wi promptly of any unauthorized use. If you register on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms. Cloud4Wi may suspend or terminate your access to the Site or to any account for breach of these Terms, without prejudice to any rights you or your organization may have under the applicable Service Terms. Prohibited use of the site By accessing the Site, you agree that you will not: Use the Site in violation of these Terms of Use; Copy, modify, create a derivative work from, reverse engineer or reverse assemble the Site, or otherwise attempt to discover any source code, or allow any third party to do so;Sell, assign, sublicense, distribute, commercially exploit, grant a security interest in or otherwise transfer any right in, or make available to a third party, the Content or Service in any way; Use or launch any automated system, including without limitation, “robots,” “spiders,” or “offline readers,” that accesses the Site in a manner that sends more request messages to the Cloud4Wi servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser; Use the Site in any manner that damages, disables, overburdens, or impairs any Cloud4Wi website or interferes with any other party’s use and enjoyment of the Site; Mirror or frame the Site or any part of it on any other web site or web page. Access the Site by any means other than through the interface that is provided by Cloud4Wi for use in accessing the Site; Use the Site for any purpose or in any manner that is unlawful or prohibited by this Agreement. Any unauthorized use of any Content or the Site may violate patent, copyright, trademark, and other laws. Changes to the site We reserve the right to modify or discontinue, temporarily or permanently, all or a part of the Site without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site. Intellectual property We retain all right, title, and interest in and to the Site and Site Content and any trademarks, logos, or service marks displayed on the Site or in Site Content (“Marks”). The Site, Site Content, and Marks are protected by applicable intellectual property laws and international treaties. You are not permitted to use any Marks without the prior written consent of Cloud4Wi or such third party which may own the Mark. Feedback Cloud4Wi may provide you with a mechanism to provide feedback, suggestions, and ideas about the Site or us (“Feedback”). You agree that we may, in our sole discretion, use the Feedback you provide in any way, including in future modifications to the Site, our products, or services. You hereby grant us a perpetual, worldwide, fully transferable, irrevocable, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and display the Feedback in any manner for any purpose. We exercise no control over any third-party products, services, and websites and we are not responsible for their performance, do not endorse them, and are not responsible or liable for any content, advertising, or other materials available through the third-party products, services, and websites. Limitation of liability CLOUD4WI WILL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF CLOUD4WI HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES), RESULTING FROM YOUR USE OF THE SITE AND SITE CONTENT. UNDER NO CIRCUMSTANCES WILL CLOUD4WI TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SITE CONTENT (INCLUDING BUT NOT LIMITED TO WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED $50. NOTHING IN THESE TERMS EXCLUDES OR LIMITS CLOUD4WI’S LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. Indemnification You will indemnify and hold Cloud4Wi, and its subsidiaries, affiliates, officers, agents, and employees, harmless from any costs, damages, expenses, and liability caused by your use of the Site or Site Content, your submission of Feedback, your violation of these Terms, or your violation of any rights of a third party through use of the Site or Site Content. Privacy Statements Our processing of personal data in connection with the Site is described in the Cloud4Wi Privacy Statements, available at https://cloud4wi.ai/privacy-statements/, which cover both enterprise contacts and individuals. Please read the applicable Privacy Statement carefully for information relating to our collection, use, storage and disclosure of personal data, including information about you that we collect through the Site. The Privacy Statements are informational notices provided for transparency purposes and do not form part of these Terms. Changes to the Terms We may periodically make changes to these Terms, in our sole discretion. When we do, we will update the “Last Updated” date above. If we make material changes, we will provide reasonable advance notice before the changes take effect, such as by posting a prominent notice on the Site or, where we have an ongoing relationship with you and hold your contact details, by contacting you directly. Changes apply prospectively only. If you do not agree to the changed Terms, you must stop using the Site. Jurisdiction and law These Terms are governed by and are to be construed in accordance with the laws of the state of New York, USA. You and we both agree to submit to the non-exclusive jurisdiction of the courts located in New York City, New York. If you access the Site as a consumer habitually resident in the European Union, the United Kingdom, or another jurisdiction whose mandatory laws entitle you to the protection of local law or to bring or defend proceedings before your local courts, nothing in this section deprives you of that protection or of that right. No failure or delay by us in exercising any right under these Terms will constitute a waiver of that right. If any portion of these Terms is held invalid by a court of competent jurisdiction, then such portion will be deemed to be of no force or effect, and these Terms will be construed as if such portion had not been included.
