Please read these Common Terms and Conditions for Nelio Services (“Common T&C”) carefully. By using, installing, activating, or contracting any Service (defined below), you agree to these Common T&C, which create a legal agreement between you and Nelio Software, S.L. (“Nelio”, “we”, or “us”).
Nelio offers services (each a “Service”, and collectively, the “Services”), including but not limited to Nelio A/B Testing, Nelio Content, Nelio Session Recordings, Nelio Popups, Nelio Forms, and other products and services made available through our website, the WordPress® Plugin Directory, or third-party platforms such as Shopify.
Those who contract, install, activate, or use any Service (the “Customer”, or “you”) agree to be bound by: (i) the general terms and conditions described below (the “Common T&C”), (ii) the specific terms and conditions applicable to each Service (see Nelio Legal Information) (the “Specific T&C”), (iii) the Privacy and Cookies Policy, and (iv) the data processing agreement (see the Data Processing Agreement) (the “DPA”). These documents are collectively referred to as the “Agreement”.
Updated Agreement
Nelio may revise the Agreement from time to time. The most current version of the Agreement will be published on Nelio’s website. Any updated version will apply from the date of its publication on this website. For subscriptions to services ordered on or before the last update of the Agreement the new Agreement will apply from the date of the renewal of the current subscription period (as elected by the Customer), if renewed.
Common T&C
All the Services will be subject to the following Common T&C.
1. Contracting Form & Payment Method
The Services may be contracted, installed, or activated, subject to the applicable Specific T&C described on our website (see Nelio Legal Information for further details).
2. Scope of Services
The purpose and functionality of each Service are described in the applicable Specific T&C available on our website (see Nelio Legal Information for further details).
The Services do not include any functionality or support not expressly described in the applicable Specific T&C. In particular, the following are excluded:
Fixing compatibility issues with the Customer’s server, devices, or technical environment. In the case of WordPress-based Services, Customers may run WordPress in many different hosting environments and configurations. While Nelio makes reasonable efforts to ensure compatibility, some issues may arise.
Fixing compatibility issues with third-party software or services.
Developing or adding new features to the Services. Nelio welcomes feedback and suggestions but does not commit to implementing features not expressly included in the relevant Service.
3. Price Changes
Nelio may change the prices of any Service at any time.
For Services contracted on a subscription basis, any price changes will take effect at the end of the then-current subscription term, provided that the Customer has not cancelled the Service.
Nelio will provide reasonable notice of any such changes, for example by email or through the relevant platform or Service interface. If the Customer does not agree to the updated price, they may cancel the Service before the renewal date.
4. Warranty
The Services are provided “as is” and “as available,” without warranties of any kind, except as expressly stated in the applicable Specific T&C.
For WordPress-based Services, Nelio makes reasonable efforts to ensure that its plugins function on a clean installation of the latest stable version of WordPress with a standard theme and commonly used environments. However, Nelio does not guarantee compatibility with all hosting environments, browsers, or third-party plugins.
For Services provided through other environments or platforms (including third-party platforms such as Shopify), Nelio makes reasonable efforts to ensure compatibility with the supported environments. However, Nelio does not guarantee that the Services will function in all possible configurations or with all third-party software or integrations.
Nelio is not responsible for compatibility issues arising from third-party software, services, themes, plugins, or external configurations beyond its control.
Nelio will use commercially reasonable efforts to provide support and to maintain and improve the compatibility of its Services over time. However, Nelio does not guarantee that the Services will remain fully compatible with all future versions of third-party platforms, environments, browsers, or software.
5. Data Privacy & Processing
Your privacy is important to us. Please refer to our Privacy and Cookies Policy for information about how we, as a data controller, collect, use, and disclose your personal data, and about the rights available to you when using our Services.
Customer Data
The Customer may submit, collect, or otherwise provide data, information, or other materials through the use of the Services (“Customer Data”), including data related to the Customer’s users, visitors, or interactions on websites, online stores, or third-party platforms (such as Shopify).
Customer Data Responsibilities – Security
The Customer is solely responsible for its Customer Data, including its accuracy, legality, and the manner in which it is collected, processed, stored, and removed.
The Customer is responsible for ensuring that its Customer Data does not violate applicable laws, this Agreement, or any third-party rights.
All content, data, configurations, or customizations implemented by the Customer, including any third-party code or software not provided by Nelio, remain under the Customer’s control and responsibility.
The Customer agrees to maintain reasonable security standards in its use of the Services.
Personal Data
For the purposes of applicable data protection laws, Nelio generally acts as a data processor (or service provider) when processing Customer Data on behalf of the Customer, in accordance with the Data Processing Agreement (DPA).
The DPA governs the processing of personal data and forms an integral part of this Agreement.
The Customer is responsible for ensuring that any personal data processed through the Services is collected and used in compliance with applicable data protection and privacy laws.
Nelio will implement and maintain appropriate technical and organizational measures to protect Customer Data, as described in the DPA.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Nelio shall not be liable for:
(i) loss of or damage to data;
(ii) any indirect, incidental, special, punitive, or consequential damages; or
(iii) any loss of profits, revenue, business, goodwill, or anticipated savings,
arising out of or in connection with the use of the Services, even if Nelio has been advised of the possibility of such damages.
Nelio’s total aggregate liability for any claims arising out of or relating to the Services shall be limited to the total amount paid by the Customer for the relevant Service during the twelve (12) months preceding the event giving rise to the claim, except in cases of fraud or willful misconduct.
7. Indemnity
By using the Services, the Customer represents and warrants that:
(i) they have the necessary rights to use, publish, and process any content or data submitted through the Services, including content from their websites, online stores, or social media platforms, and that such use does not infringe any third-party rights (including intellectual property rights); and
(ii) their use of the Services complies with applicable laws and regulations, including those related to advertising, telecommunications, data protection, privacy, and consumer protection.
The Customer agrees to indemnify, defend, and hold harmless Nelio, its affiliates, directors, employees, agents, and representatives from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
(i) any breach of the above representations or applicable law;
(ii) any content or data submitted, transmitted, or processed through the Services;
(iii) any infringement of third-party rights; or
(iv) any breach of this Agreement.
8. Termination
The Customer may stop using the Services at any time.
For Services provided through third-party platforms (such as Shopify), uninstalling the application will result in termination of the Service.
Nelio may suspend or terminate access to the Services in the event of a breach of this Agreement or misuse of the Services.
Termination of the Services does not relieve the Customer of any outstanding payment obligations, if applicable.
9. Free Services
If Nelio grants the Customer access to any free Service (the “Free Access Service”), the Customer may use the Service for the applicable period, subject to this Agreement.
Nelio may suspend or terminate the Free Access Service at any time, at its sole discretion, without liability or obligation to provide compensation.
Free Access Services may be incomplete, limited, or contain errors. To the maximum extent permitted by law, Nelio provides no warranties, support, or service obligations in relation to Free Access Services.
10. Notices
Any notice between Nelio and the Customer will be sent by electronic means to the following email addresses:

The Customer: the email address provided by the Customer when registering or subscribing to the Services.
11. Legal Regime
This contract will be deemed for all purposes as a commercial agreement between two business entities for the granting of a license and/or the provision of a Service or Services; and will not constitute any labor relationship, shareholders agreement or joint venture between Nelio and the Customer.
12. Applicable Law
This contract and its performance will be governed by Spanish law (without application of conflict of law rules).
13. Jurisdiction
Any dispute between Nelio and the Customer arising from the interpretation or performance of this contract will be subject to the jurisdiction of the Courts of Barcelona (Kingdom of Spain).
