Legal Terms of Service Last updated: January 2025 Acceptance of Terms These Terms of Service (“Terms”) govern your access to and use of the Synopsis platform (“Service”), which is provided by Part II Inc., a Delaware corporation doing business as Synopsis (“Synopsis,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service. These Terms apply to all users of the Service. Description of Service Synopsis is a data platform that helps businesses manage, integrate, and analyze their distributed business data across multiple systems. Our services include data integration, workflow automation, AI-powered insights, and related features. Account Registration To access certain features of the Service, you must create an account. You agree to: Provide accurate, current, and complete information during registration Maintain and promptly update your account information Keep your password secure and confidential Accept responsibility for all activities under your account Notify us immediately of any unauthorized access or security breach Acceptable Use You agree not to use the Service to: Violate any applicable laws, regulations, or third-party rights Upload or transmit malicious code, viruses, or harmful content Interfere with or disrupt the Service or its infrastructure Attempt to gain unauthorized access to any systems or networks Harvest or collect user information without consent Use the Service for any illegal or unauthorized purpose Your Data You retain all rights to the data you upload, integrate, or connect to the Service (“Your Data”). By using the Service, you grant Synopsis a limited license to process Your Data solely to provide and improve the Service. You are responsible for ensuring you have the necessary rights and permissions to use Your Data with the Service. Synopsis does not claim ownership of Your Data. SMS/Text Messaging Terms If you opt in to receive SMS notifications from Synopsis, the following additional terms apply: Consent By providing your phone number and checking the SMS consent checkbox, you expressly consent to receive recurring automated text messages from Synopsis at the phone number provided. Your consent is not a condition of purchasing any goods or services. Message Types SMS messages may include: Workflow alerts and notifications about your Synopsis account System notifications and important updates Account verification codes Message Frequency Message frequency varies based on your account activity and notification preferences. You may receive multiple messages per day depending on your configured alerts and system events. Costs Standard message and data rates may apply depending on your mobile carrier and plan. Synopsis does not charge for SMS messages, but your carrier may charge you. Opting Out You can stop receiving SMS messages at any time by: Replying STOP to any text message from Synopsis Updating your preferences in your profile settings After opting out, you will receive a one-time confirmation message. You will not receive further messages unless you opt in again. Help For assistance with SMS notifications, reply HELP to any message or contact support@getsynopsis.ai. Supported Carriers SMS messaging is available on most major US carriers. Carriers are not liable for delayed or undelivered messages. Intellectual Property The Service and its original content, features, and functionality are owned by Synopsis and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Privacy Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information, including your phone number and SMS consent data. Service Availability We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Limitation of Liability To the maximum extent permitted by law, Synopsis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Disclaimer of Warranties The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Termination We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Changes to Terms We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the new Terms. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
