1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the CleanSignUps website and our email list cleaning, verification, and deliverability services (collectively, the "Services"). By registering for an account, accessing, or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
2. Service Description
CleanSignUps provides an online platform that allows users to upload email lists to determine the validity and deliverability status of the email addresses within those lists. The Services are offered as-is, and while we strive for the highest accuracy, no validation service can guarantee 100% deliverability.
3. Account Registration and Responsibility
Eligibility: You must be at least 18 years old to use the Services.
Registration: You agree to provide accurate, current, and complete information during the registration process and to keep your password secure. You are responsible for all activities that occur under your account.
Security: You must notify CleanSignUps immediately of any unauthorized use of your account or breach of security.
4. Payments, Fees, and Credits
Fees: Access to the Services is provided on a pre-paid credit or subscription basis. You agree to pay all applicable fees and charges for the Services you purchase.
No Refunds: All payments made for Services or credits are non-refundable, except at the sole discretion of CleanSignUps or as required by applicable law. Unused credits may expire if your account remains inactive for a prolonged period (e.g., 12 months).
Price Changes: CleanSignUps reserves the right to change the pricing for Services at any time, but such changes will not affect the value of credits already purchased.
5. User Content and Data Ownership
Ownership: You retain all ownership rights to the email lists and data you upload to the Services ("User Content").
License: You grant CleanSignUps a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process the User Content solely for the purpose of providing the Services to you and generating anonymized, aggregated statistical data.
Warranties: You warrant that you have all necessary rights, licenses, and permissions to upload the User Content and that our use of the User Content will not infringe or violate any third party's intellectual property or privacy rights.
6. Acceptable Use Policy
You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited uses include:
Spam: You will not use the results of the Services to send unsolicited bulk commercial emails (spam).
Abuse: You will not use the Services to verify email addresses obtained unlawfully or without the consent of the email owner.
Harmful Activity: You will not upload any content that is harmful, threatening, abusive, harassing, defamatory, or obscene.
System Integrity: You will not attempt to gain unauthorized access to the Services, or interfere with the integrity or performance of the Services.
7. Termination
By User: You may terminate your account at any time by contacting customer support.
By CleanSignUps: We may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach these Terms, particularly the Acceptable Use Policy, or if your usage is deemed harmful to the Services or other users. Upon termination, your right to use the Services will immediately cease.
8. Disclaimer of Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. CleanSignUps expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that the results obtained from the use of the Services will be accurate or reliable.
9. Limitation of Liability
In no event shall CleanSignUps, its directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Chhatrapati Sambhaji Nagar, Maharashtra, India to resolve any legal matter arising from these Terms.
