Legal Terms of Service Last Updated: February 12, 2026 Welcome to Neuralwatt. These Terms of Service govern your access to and use of our AI inference platform and services. By accessing or using our services, you agree to be bound by these Terms. 1. Acceptance of Terms By registering for an account, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply to specific services. 2. Services Neuralwatt provides AI inference services that allow customers to access and utilize various artificial intelligence models through our API. Our services are subject to change, and we reserve the right to modify, suspend, or discontinue any aspect of our services at any time. Energy usage is measured directly via GPU telemetry, and access to system capacity may be rate-limited based on plan, model, and system conditions to ensure fair and reliable operation. By using our services, you consent to the collection of energy consumption data as described in our Privacy Policy. Service Level: While we strive to provide reliable and available services, we do not guarantee specific uptime or performance levels unless explicitly stated in a separate written agreement. Services are provided on an "as available" basis. 3. Account Registration To access certain features of our services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. 4. API Usage Our services are accessed via API keys. You are responsible for maintaining the confidentiality of your API keys and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your API keys. 5. Acceptable Use and Fair Use Policy You are solely responsible for all content submitted through our services. You agree not to use our services to: Violate any applicable laws or regulations Infringe upon the rights of others, including intellectual property rights Distribute harmful, malicious, or illegal content Engage in activities that could harm our systems, infrastructure, or other users Attempt to circumvent rate limits, usage restrictions, or billing mechanisms Engage in abusive patterns such as excessive failed requests, deliberate system overload, or automated scraping beyond normal API usage We reserve the right to suspend or terminate access for violations of this policy, with or without notice, to protect our services and other users. 6. Intellectual Property Our services, including all software, documentation, and content provided by Neuralwatt, are protected by intellectual property laws. You are granted a limited license to use our services in accordance with these Terms. 7. Payment and Billing Some of our services require payment. You agree to pay all fees associated with your use of our services according to the pricing plan you selected. Fees are based on your actual usage, which may be calculated using measured energy consumption (kWh), tokens, or other metered units, as specified in your selected pricing option or plan. All fees are non-refundable unless otherwise stated in writing or required by applicable law. We reserve the right to change our pricing at any time, with notice provided for changes affecting your current subscription or plan. 8. Disclaimer of Warranties Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted or error-free. 9. Limitation of Liability To the fullest extent permitted by law, Neuralwatt shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. 10. Termination and Account Suspension We may suspend or terminate your access to our services at any time, with or without prior notice, for any reason, including but not limited to violation of these Terms, abuse of our systems, non-payment, or suspicious activity. You may terminate your account at any time by contacting us. Upon termination, your access to our services will cease, though you remain responsible for any outstanding fees incurred prior to termination. In cases of suspected abuse or Terms violations, we reserve the right to immediately revoke API access to protect our systems and other users. If you believe your access was suspended or terminated in error, you may contact us at [email protected] to appeal the decision. 11. Changes to Terms We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the revised Terms on our website and updating the "Last Updated" date. 12. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware. 13.
