TERMS AND CONDITIONS OF SALE CLI3NTS – SaaS Software Last updated: January 27, 2026 ARTICLE 1 – SERVICE PROVIDER IDENTIFICATION CLI3NTS A simplified joint-stock company (SASU) under French law Registered with the Bordeaux Trade and Companies Register under number 979 124 732 Registered office: 34 cours Georges Clemenceau, 33000 Bordeaux – France Email: contact@cli3nts.com Hereinafter referred to as "CLI3NTS" or the "Service Provider". ARTICLE 2 – PURPOSE These Terms and Conditions of Sale (the "Terms") govern the conditions under which CLI3NTS provides the Client with access to its Software-as-a-Service (SaaS) platform, offering LinkedIn automation and acquisition tools powered by artificial intelligence agents (the "Service"). These Terms apply exclusively to the CLI3NTS SaaS offering and exclude any agency, consulting, or custom services, which are governed by separate contractual agreements. ARTICLE 3 – SCOPE OF APPLICATION The Service is strictly reserved for professional use by individuals or legal entities acting for business purposes. By subscribing to or using the Service, the Client expressly accepts these Terms, the applicable Special Terms of the selected plan, and all contractual annexes, including the Data Processing Agreement (GDPR) and the AI Act Annex. ARTICLE 4 – ACCESS TO THE SERVICE & CLIENT ACCOUNT 4.1 Account Creation Access to the Service requires the creation of a Client account. The Client agrees to provide accurate, complete, and up-to-date information. The Client is solely responsible for: safeguarding login credentials, all activities carried out through their account. 4.2 LinkedIn Account Access To enable the Service, the Client expressly authorizes CLI3NTS to access their LinkedIn account and related data (including posts, comments, private messages, and interactions), strictly for the execution of the automated actions configured or approved by the Client. The Client acknowledges that: such access is essential to the Service, they bear full responsibility for granting this access, LinkedIn may restrict or suspend accounts at its sole discretion. CLI3NTS is neither affiliated with nor endorsed by LinkedIn. ARTICLE 5 – DESCRIPTION OF THE SERVICE The CLI3NTS Service includes, in particular: Prospecting AI Agent: automated sending of LinkedIn invitations and follow-up messages, Setting AI Agent: automated management of private message and comment replies, Copywriting AI Agent: generation and scheduling of optimized LinkedIn posts, automated lead qualification and tracking, dashboard and activity reporting. The Service is provided under a best-efforts obligation, with no guarantee of results. ARTICLE 6 – USE OF ARTIFICIAL INTELLIGENCE SYSTEMS The Client is expressly informed that the Service relies on artificial intelligence systems, including generative, automation, and prioritization mechanisms. The conditions governing the use of such AI systems are detailed in the Annex – Agreement on the Use of Artificial Intelligence Systems (AI Act), which forms an integral part of these Terms. The Client acknowledges that: AI-generated content may require human review, AI may produce inappropriate or inaccurate responses in certain contexts, the Client remains responsible for the final content published or sent through their account. ARTICLE 7 – FINANCIAL TERMS 7.1 Subscription The Service is provided on a monthly or annual subscription basis, depending on the selected plan. Applicable fees are those displayed at the time of subscription or defined contractually. 7.2 Free Trial Period CLI3NTS may offer a free trial period of seven (7) days. During this period: the Client has access to all features of the selected plan, no charges are made, at the end of the trial period, the subscription is automatically activated unless previously cancelled. 7.3 Payment Payments are made exclusively via Stripe, through automatic debit. The Client warrants that they have the necessary authorizations and undertakes to maintain valid payment details throughout the subscription period. 7.4 Payment Default In the event of non-payment, CLI3NTS reserves the right to: immediately suspend access to the Service, deactivate AI agents, terminate the contract in the event of persistent default. No refunds shall be issued for any period already started. ARTICLE 8 – TERM & TERMINATION These Terms remain in force for the duration of the subscribed plan. Unless otherwise stated: subscriptions may be terminated at any time from the user interface, termination takes effect at the end of the current billing period, any started billing period remains payable in full. CLI3NTS may terminate the Service immediately in the event of a material breach by the Client. ARTICLE 9 – PROHIBITED USES The Client agrees not to use the Service to: violate applicable laws or regulations, infringe third-party rights, distribute misleading, unlawful, or deceptive content, send spam or unsolicited messages, impersonate a third party, misuse or circumvent AI agents or technical safeguards, perform abusive or non-compliant automated behaviors on third-party platforms. CLI3NTS reserves the right to suspend or terminate any account in case of misuse. ARTICLE 10 – LINKEDIN USAGE LIMITS The Client is informed that LinkedIn imposes usage limits on its platform. CLI3NTS configures the Service to respect these limits, including: up to 200 invitations per week, up to 50 comments per day on network posts, prospecting messages sent Monday to Friday, from 9am to 6pm. The Client acknowledges that: LinkedIn may change these limits at any time, LinkedIn account restrictions or suspensions may occur despite respecting these limits, CLI3NTS cannot be held responsible for LinkedIn's actions. ARTICLE 11 – INTELLECTUAL PROPERTY All elements of the Service, including but not limited to: software, algorithms, AI agents, prompts, methodologies, interfaces, remain the exclusive property of CLI3NTS. No intellectual property rights are transferred to the Client. Content generated by AI based on the Client's instructions remains the Client's property. ARTICLE 12 – PERSONAL DATA The processing of personal data is governed by: the GDPR Data Processing Agreement (DPA) attached hereto, applicable European data protection regulations. The Client acts as the data controller. CLI3NTS acts as the data processor. Data collected via LinkedIn (profiles, interactions, messages) is processed in accordance with CLI3NTS's Privacy Policy. ARTICLE 13 – SERVICE AVAILABILITY The Service is provided on an "as is" and "as available" basis. CLI3NTS commits to implementing the necessary means to ensure optimal Service availability, with a target availability of 99.5% excluding scheduled maintenance. CLI3NTS does not guarantee uninterrupted availability, error-free operation, or absence of service interruptions caused by third parties or maintenance operations. No downtime shall give rise to compensation. ARTICLE 14 – TECHNICAL SUPPORT CLI3NTS provides technical support based on the subscribed plan: Solopreneur and Scale plans: email support (contact@cli3nts.com), Enterprise plans: priority support and dedicated assistance. Support requests are processed within a reasonable timeframe, typically within 48 business hours. ARTICLE 15 – LIABILITY CLI3NTS's liability is strictly limited to the total amount paid by the Client over the three (3) months preceding the event giving rise to liability. CLI3NTS shall not be liable for: decisions made by the Client, automated actions performed through the Client's accounts, restrictions or suspensions imposed by LinkedIn, lost, undelivered, or unanswered messages, indirect damages, including loss of revenue, clients, or reputation. ARTICLE 16 – WARRANTIES & DISCLAIMERS The Service is provided without any guarantee of performance, results, or suitability for a specific commercial objective. The Client acknowledges using the Service with full knowledge of the risks associated with automation and AI systems. CLI3NTS does not guarantee: a minimum number of leads generated, a specific response rate, the growth of the Client's LinkedIn network. ARTICLE 17 – INDEMNIFICATION The Client agrees to indemnify and hold harmless CLI3NTS against any claims, damages, or losses arising from: the Client's use of the Service, the Client's content or data, any breach of these Terms or applicable laws, any violation of LinkedIn's terms of use. ARTICLE 18 – CONFIDENTIALITY Each party undertakes to maintain the confidentiality of the other party's confidential information to which it may have access in the performance of the Service. The following are considered confidential: the Client's commercial data, prospecting strategies, message templates and customized prompts. This confidentiality obligation survives the termination of the contract for a period of two (2) years. ARTICLE 19 – FORCE MAJEURE Neither party shall be liable for any failure to perform its obligations resulting from a force majeure event, including but not limited to: natural disasters, internet infrastructure failures, changes to LinkedIn's terms of use, governmental or regulatory decisions. ARTICLE 20 – AMENDMENTS CLI3NTS reserves the right to amend these Terms at any time. Updated Terms become effective upon publication. Continued use of the Service constitutes acceptance. In the event of a substantial modification, the Client will be notified by email at least 15 days before it takes effect. ARTICLE 21 – GOVERNING LAW & JURISDICTION These Terms are governed by French law. Any dispute shall fall under the exclusive jurisdiction of the Commercial Court of Bordeaux (France). ARTICLE 22 – ACCEPTANCE Subscription to and use of the CLI3NTS Service constitute full and unconditional acceptance of these Terms and their annexes.
