Please read these Terms of Use (“Terms”) with care, as they are a binding agreement between you and Appiphony LLC. By accessing or using any part of our websites, you agree that you are subject to and will comply with these Terms, as we may update them from time to time. These Terms govern your use of the websites that link to these Terms, as well as our Appiphony Customer Portal, which you log into via our websites. You automatically agree to these Terms simply by using or logging into our websites and by using our Customer Portal. Please note that we offer different products and services, including custom software development services under https://appiphony.com, and https://my.appiphony.com, which contains the Appiphony Customer Portal where customers can log in to access information related to work we are doing for them, watch training videos, log cases, review past cases and access documents and completed software, as well as our Drive Connect website under https://driveconnect.me, where you can contact sales, learn about our Drive Connect App and pricing, open cases and get support information. Your use of these Appiphony products and services are provided by Appiphony in conformance with separately executed agreements. These additional Terms become part of your agreement with us when you log into our websites and when you access our Customer Portal. 1. DEFINITIONS “Appiphony Community” means the web pages accessible via https://appiphony.com, https://my.appiphony.com, https://driveconnect.me and related pages that are identified as customer resources, including the Appiphony Customer Portal, as well as any other media form, media channel, mobile website or mobile application related, linked or otherwise connected thereto. “We” “Our” or “Us” means Appiphony, LLC. “You” or “Your” means you as an individual, and any company or organization for whom you are using the Appiphony Community. 2. YOUR ACCOUNTS You may be required to create an account and specify a password in order to use certain services or features on our websites. To create an account, you must be at least 18 years old and you must agree that all information that you submit to the Appiphony Community is truthful and accurate, and that such information will be kept current to reflect any changes. In certain instances, you may be assigned an account by an administrator, such as your employer. If you are using or logging into an account assigned to you by an administrator, additional terms may apply to your use of the websites. You may not share your account with anyone else. If you believe that your account has been compromised, please notify your system administrator. If we have grounds to suspect that any information you supplied on our websites is untrue, inaccurate or incomplete, we have the right to suspend or terminate your use of your account. It is your responsibility to maintain the confidentiality of any password associated with your use of your accounts, and you are responsible for any activities in your accounts. You agree that we may send you information and notices regarding the Appiphony Community and accounts by email, text messaging or other means based on the information you provide to us. 3. YOUR RESPONSIBILITIES You are responsible for all of your activities in the Appiphony Community. You must treat other Appiphony Community users with courtesy and respect. You shall not: Impersonate any other person; Falsely say or imply that you are associated with another person or entity; Submit content in exchange for payment or other consideration from another person or entity; Collect information about other Appiphony Community users without their consent; or Submit or link to any content (including any name or User ID You use in the Appiphony Community) that: Infringes or violates the intellectual property or other rights of any person or entity; Intentionally interferes with the operation of the Appiphony Community; Violates anyone’s privacy or publicity rights; Breaches any duty of confidentiality that you owe to anyone; Provides any non-public information about us or any other company or person without authorization; Use, in our sole discretion, vulgar, offensive, inappropriate, harassing, defamatory, abusive, lewd, pornographic, obscene or otherwise objectionable; Contains or installs any viruses, worms, bugs, Trojan horses, malware or other code, files or programs designed or having the capability to disrupt, damage or limit the functionality of any software or hardware; or Contains false or deceptive language, unsubstantiated or comparative claims regarding our or others’ products, advertising, commercial referrals, spam, chain letters, or any other solicitation, including solicitation of lawsuits. We reserve the right, in our sole discretion and without cause at any time, and without notice to you, to remove, or refuse to post any content submitted or posted by you to the Appiphony Community. 4. MODIFICATIONS We reserve the right, in our sole discretion, to make changes and to modify our websites at any time, with or without notice to you. For example, we may add or remove functionality or features, and we may suspend or cease using a particular feature altogether. 5. CONTENT POSTED BY YOU You may post text, photographs, videos, or other content (collectively, “Content”) via our Customer Portal. You can only post Content if you own the rights to that Content, or if another rights holder has given you permission. By posting your Content, you do not transfer ownership. However, by posting Content, you grant us, our agents, licensees, and assigns a perpetual (non-exclusive) right and permission to store, copy and transmit your Content. 6. PROPRIETARY RIGHTS AND PRIVACY Subject to the limited rights expressly granted hereunder, we reserve all of our right, title and interest in and to intellectual property rights subsisting in the Appiphony Community, including but not limited to its user interface and branding. No rights are granted to you hereunder other than as expressly set forth herein. 7. TRADEMARKS Appiphony, Drive Connect, eSign Connect and other marks used on the Appiphony Community used on the Appiphony Community are owned by us and may not be used in any manner without our express prior written consent. 8. NO WARRANTY THE APPIPHONY COMMUNITY IS PROVIDED “AS-IS,” EXCLUSIVE OF ANY EXPRESS OR IMPLIED WARRANTIES WHATSOEVER, TO THE EXTENT PERMITTED BY LAW. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CONTENT POSTED BY ANYONE OTHER THAN US ON THE APPIPHONY COMMUNITY IS THE SOLE RESPONSIBILITY OF THE ORIGINATOR OF THAT CONTENT. WE ARE NOT RESPONSIBLE FOR ANY CONTENT POSTED BY YOU OR ANY THIRD PARTY, WHETHER OR NOT WE REVIEWED OR MODERATED SUCH CONTENT. CONTENT POSTED BY US ON THE APPIPHONY COMMUNITY WEBSITES IS NOT PART OF ANY USER GUIDE, PRODUCT DOCUMENTATION OR LEGAL AGREEMENT. ALL SUCH AFOREMENTIONED CONTENT IS PROVIDED “AS-IS”, AND WE DO NOT MAKE ANY PROMISES OR REPRESENTATIONS AS TO ITS QUALITY OR ACCURACY, AND WE SPECIFICALLY DISCLAIM THE ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, USEFULNESS, NON- INFRINGEMENT, QUALITY OR ORIGINALITY OF SUCH CONTENT. WE DISCLAIM ANY RESPONSIBILITY WHATSOEVER FOR ANY CONTENT OR MATERIAL ON THE APPIPHONY COMMUNITY REGARDLESS OF WHO ORIGINATED THAT CONTENT (INCLUDING OUR EMPLOYEES, PARTNERS OR AFFILIATES). 9. NO DAMAGES YOU AGREE THAT YOU BEAR ALL RISKS ASSOCIATED WITH USING OR RELYING UPON CONTENT ON THE APPIPHONY COMMUNITY. EXCEPT WHERE PROHIBITED, WE HAVE NO LIABILITY HEREUNDER TO YOU FOR ANY LOSSES OR DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR DAMAGES BASED ON LOST PROFITS, DATA OR USE, THE VIOLATION OF YOUR RIGHTS BY A THIRD PARTY OR COMPUTER FAILURE, HOWEVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 10. INDEMNITY You agree to indemnify and hold us and our subsidiaries, affiliates, officers, agents, and employees harmless from any claims, demands, liabilities, losses, damages, costs and expenses (including, without limitation, reasonable attorneys' fees) arising from: (i) Your breach of these Terms or (ii) any claim made by any third party arising out of the Content you submit to or post on the Appiphony Community. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action or proceeding which is subject to this indemnification upon becoming aware of it. 11. REMOVAL OF MATERIAL UNDER U.S. DIGITAL MILLENNIUM COPYRIGHT ACT If we receive a notice alleging that material or content you posted on the Appiphony Community infringes another party’s copyright, we may remove that material in accordance with Title II of the Digital Millennium Copyright Act of 1998 (Section 512 of the U.S. Copyright Act). 12. ENFORCEMENT We typically do not pre-screen, verify, edit, monitor or moderate the Content posted by users on the Appiphony Community but may do so from time to time in our sole discretion. We and our agents reserve the right to investigate any violation of these Terms and to take appropriate remedial action. Any violation of these Terms may result in the suspension or termination of your ability to use or participate on the Appiphony Community. We reserve the right to enforce these Terms in our sole discretion, including, but not limited to, warning users of violations, disabling or suspending privileges and/or access, deleting, screening or editing any content, or prohibiting any behavior that does not comply with these Terms, or which we otherwise deem inappropriate, harmful, objectionable or inaccurate. We may release information concerning your use of the Appiphony Community (including posted content, registration information, and network records) when we believe release is appropriate to comply with the law (e.g., pursuant to a subpoena, warrant or court order); to enforce or apply these Terms; to protect our rights or property; to protect against fraudulent, abusive or unlawful use or participation on the Appiphony Community; or if we reasonably believe that a situation involving imminent danger of death or serious bodily injury to any person requires disclosure. 13. SEVERABILITY If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, the provision will be deemed null and void, and the remaining provisions of these Terms will remain in effect. 14. ELECTRONIC COMMUNICATIONS, TRANSACTIONS AND SIGNATURES Visiting our websites, sending us emails, and using our Customer Portal constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on our websites, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA OUR WEBSITES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means. 15. ADDITIONAL TERMS These Terms do not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between you and us. You may not assign your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent. These Terms shall be governed exclusively by the internal laws of the State of Illinois, without regard to its conflicts of laws rules. Each party hereby consents to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois to adjudicate any dispute arising out of or relating to this Agreement. Except as expressly stated in these Terms, these Terms constitute the entire agreement between the parties, and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning their subject matter. No modification, amendment, or waiver of any provision of these Terms shall be effective unless it is by an update to these Terms that we make available on this website, or is in writing and signed by the party against whom the modification, amendment or waiver is to be asserted. The Appiphony Community websites may contain links to third-party websites. We do not control or endorse such websites, or any goods or services sold via such websites. We reserve the right to modify these Terms at any time. Please refer back to these Terms on a regular basis. By continuing to use or log into our websites or Customer Portal after these Terms have been modified, you acknowledge your agreement to the revised Terms. You must stop using or logging into our website and customer Portal if you do not agree the changes to the Terms. 16.
