1. Acceptance of Terms
These Website Terms of Use (“Terms”) govern your access to and use of the websites,
webpages, online resources, demonstration request pages, downloadable resources,
event materials, product information, and related content operated by ComplianceQuest,
Inc. and its affiliates (“ComplianceQuest,” “CQ,” “we,” “us,” or “our”) that link to or
reference these Terms (collectively, the “Website”). By accessing or using the Website,
you agree to be bound by these Terms. If you do not agree, you must not access or use
the Website.
2. Website Only; Separate Agreements
The Website is provided for general informational, educational, marketing, and
evaluation purposes regarding CQ’s quality, compliance, risk, product lifecycle, safety,
and supplier management solutions. These Terms do not govern access to or use of any
CQ software-as-a-service products, customer portals, implementation services,
validation services, professional services, support services, or paid offerings, which are
governed by separate written agreements, order forms, statements of work, subscription
terms, or other applicable terms between CQ and its customers. In the event of a conflict
between these Terms and a separate written agreement signed by CQ, the separate
written agreement will control solely with respect to the subject matter covered by that
agreement.
3. Changes to These Terms
We may update these Terms from time to time by posting revised Terms on the Website
or by otherwise providing notice where required by law. The revised Terms will be
effective when posted unless a later effective date is stated. Your continued use of the
Website after the revised Terms become effective constitutes your acceptance of the
revised Terms.

4. Eligibility and User Responsibilities
You may use the Website only if you are legally able to enter into a binding agreement
and only in compliance with these Terms and applicable law. You are responsible for
ensuring that any information you provide through the Website is accurate, current, and
complete. If you access the Website on behalf of an organization, you represent that you
have authority to bind that organization to these Terms.
5. Permitted Use and Restrictions
You may access and use the Website solely for lawful, internal business, informational,
and evaluation purposes related to CQ’s products, services, resources, events, and
thought leadership. You must not: (a) use the Website in violation of applicable law or
third-party rights; (b) interfere with, disrupt, or compromise the security or operation of
the Website or any connected CQ systems; (c) introduce viruses, malware, scraping tools,
or other harmful code; (d) attempt to gain unauthorized access to any CQ systems,
portals, accounts, demos, forms, or data; (e) scrape, crawl, copy, monitor, harvest, or
extract Website content by automated means except as expressly permitted by CQ in
writing; (f) reverse engineer, decompile, or attempt to derive source code, product
architecture, workflows, configurations, AI models, or technical information from any
portion of the Website; (g) misrepresent your identity, affiliation, company, role, or
authority when requesting demos, downloads, pricing, events, or other CQ materials; or
(h) use the Website or Website content to develop, train, benchmark, market, or support
a competing product or service.
6. Intellectual Property
The Website and all CQ content, including product descriptions, solution overviews,
industry pages, regulatory resources, webinars, white papers, case studies, calculators,
graphics, logos, icons, videos, downloads, documentation, software references, and
other materials made available on or through the Website are owned by CQ or its
licensors and are protected by intellectual property and other laws. Except as expressly
permitted in these Terms, no right, title, or interest in or to the Website, CQ solutions, CQ

content, or any related intellectual property is transferred to you. CQ reserves all rights
not expressly granted.
7. Copyright Notice and Complaints

content on the Website infringes your copyright, you may notify CQ at

notice that includes: (a) identification of the copyrighted work claimed to have been
infringed; (b) identification of the allegedly infringing material and its location on the
Website; (c) your contact information; (d) a statement that you have a good-faith belief
that the disputed use is not authorized by the copyright owner, its agent, or the law; (e)
a statement, made under penalty of perjury, that the information in your notice is
accurate and that you are the copyright owner or are authorized to act on the copyright
owner’s behalf; and (f) your physical or electronic signature. CQ may remove or disable
access to allegedly infringing material in appropriate circumstances.
8. Trademarks
All trademarks, service marks, trade names, logos, product names, and other brand
features appearing on the Website are the property of CQ or their respective owners.
Nothing on the Website grants any right or license to use any CQ or third-party marks
without the prior written permission of the applicable owner. References to third-party
marks do not imply endorsement, sponsorship, or affiliation unless expressly stated by
CQ.
9. Feedback
If you submit ideas, suggestions, comments, enhancement requests, product concepts,
workflow recommendations, AI-related suggestions, implementation observations, or
other feedback regarding the Website, CQ products, or CQ services (“Feedback”), you
grant CQ a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and

transferable license to use, reproduce, modify, disclose, distribute, and otherwise exploit
such Feedback for any purpose without restriction or compensation to you.
10. Submissions Are Not Confidential
Unless you have entered into a separate written agreement with CQ that expressly
provides otherwise, any information, materials, requests, registrations, comments, or
other content submitted through the Website, including through demo requests,
contact forms, event registrations, downloads, surveys, or similar Website features, will
not be treated as confidential or proprietary. You are responsible for ensuring that you
have the right to submit such information, and your submission does not create any
customer, professional services, support, fiduciary, or other special relationship with CQ
or obligate CQ to respond, provide products or services, or enter into any agreement.
Nothing in this Section limits CQ’s obligations, if any, with respect to personal
information under CQ’s Privacy Policy or applicable privacy laws.
11. Third-Party Websites and Resources
The Website may reference or provide access to third-party websites, platforms, partners,
marketplaces, customer stories, regulatory resources, analyst reports, webinars,
applications, products, services, or other resources. CQ does not control and is not
responsible for any third-party websites or resources, including their availability,
accuracy, content, policies, practices, claims, or security. References to third-party
platforms, customers, partners, regulations, standards, or certifications are provided for
informational purposes and do not modify any separate agreement with CQ or create
any warranty, certification, or commitment unless expressly stated in a written
agreement signed by CQ.

CQ’s collection, use, and disclosure of personal information through the Website are
described in CQ’s Privacy Policy. By using the Website, you acknowledge that your
information will be handled in accordance with the Privacy Policy, as applicable.

OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS,
GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE
TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM
EXTENT PERMITTED BY LAW, CQ’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO
THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US
$100).

16. Indemnification
You will defend, indemnify, and hold harmless CQ and its affiliates, officers, directors,
employees, agents, licensors, and suppliers from and against any claims, losses, liabilities,
damages, judgments, penalties, fines, costs, and expenses, including reasonable
attorneys’ fees, arising out of or related to your: (a) access to or use of the Website; (b)
violation of these Terms; (c) violation of applicable law; or (d) infringement or
misappropriation of any third-party rights.
17. Suspension and Termination
CQ may suspend, restrict, or terminate your access to the Website at any time if CQ
reasonably believes that you have violated these Terms, applicable law, or third-party
rights, or if CQ determines that your use may create risk, liability, or disruption to CQ,
the Website, or any third party. CQ may also modify, suspend, or discontinue any
portion of the Website at any time without liability.
18. Export and Sanctions Compliance
You may not access or use the Website in violation of U.S. export control laws, sanctions
laws, or other applicable trade restrictions. You represent that you are not located in,
organized under the laws of, or ordinarily resident in any country or territory subject to
comprehensive U.S. sanctions, and that you are not identified on any applicable
restricted party list.
19. Governing Law and Venue
These Terms and any dispute arising out of or related to these Terms or the Website will
be governed by the laws of the State of Florida, without regard to conflict of law
principles. The state and federal courts located in Tampa, Hillsborough County, Florida
will have exclusive jurisdiction over any dispute arising out of or related to these Terms
or the Website, and you consent to the personal jurisdiction and venue of those courts.

20. Miscellaneous
These Terms constitute the entire agreement between you and CQ regarding your use of
the Website and supersede any prior or contemporaneous understandings regarding
the Website. If any provision of these Terms is held invalid or unenforceable, the
remaining provisions will remain in full force and effect. CQ’s failure to enforce any
provision of these Terms will not constitute a waiver. You may not assign these Terms
without CQ’s prior written consent. CQ may assign these Terms without restriction. The
headings in these Terms are for convenience only and do not affect interpretation.
