Terms of Service

1. Acceptance of Terms
By accessing or using the CompeteIQ platform, website (competeiq.io), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
CompeteIQ is a unified competitive intelligence platform that enables organizations to collect, analyze, personalize, and distribute competitive, market, and customer intelligence. The Service includes but is not limited to:
Universal Battle Cards and competitive content management
Competitive Matrix with Company, Product, and Segment views
AI-powered competitive analysis and monitoring
Market intelligence collection and distribution
Integrations with third-party platforms including Salesforce, Slack, Microsoft Teams, and Highspot
3. Account Registration and Security
To access certain features of the Service, you must create an account. You agree to:
Provide accurate, current, and complete information during registration
Maintain the security of your account credentials
Promptly notify CompeteIQ of any unauthorized access or use of your account
Accept responsibility for all activities that occur under your account
CompeteIQ supports Single Sign-On (SSO) via SAML and Salesforce authentication. Multi-factor authentication is available and may be required for administrator accounts.
4. Subscription and Payment
The Service is offered on a subscription basis. Subscription terms, pricing, and payment schedules are outlined in your Order Form or service agreement with CompeteIQ.
Fees are based on licensed User subscriptions, not actual usage, and are paid in advance
All fees for Subscription Services are non-cancelable and non-refundable except as expressly stated in your service agreement
User subscriptions automatically renew for periods equal to the expiring term or one (1) year (whichever is shorter), unless either party provides written non-renewal notice at least 30 days before the end of the current term
Invoiced charges are due net thirty (30) days from the invoice date
Overdue payments may be subject to a late fee of up to 3% of the fees due, and unpaid balances may accrue interest at 1.5% per month
CompeteIQ may suspend services if amounts remain unpaid for 30 or more days after providing at least 7 days' prior written notice
5. Your Data
Your data is your data. CompeteIQ does not sell, share, or monetize your data in any way. We process your data solely to provide and improve the Service.
You retain all ownership rights to data you submit to the Service ("Customer Data"), including all related intellectual property rights
CompeteIQ will not modify your Customer Data except as necessary to perform the Service
CompeteIQ accesses Customer Data only to provide the Service, prevent or address technical issues, or at your request for support
CompeteIQ will not disclose Customer Data except as compelled by law or expressly permitted by you
Upon termination, you may request your Customer Data within five (5) days after the effective date of termination. After this period, CompeteIQ has no obligation to maintain your data and will delete it unless legally prohibited

6. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
Interfere with or disrupt the integrity or performance of the Service
Use the Service to store or transmit malicious code
Resell, sublicense, or make the Service available to third parties without CompeteIQ's written consent
Use automated means to access the Service except through APIs provided by CompeteIQ
7. Intellectual Property
CompeteIQ and its licensors retain all intellectual property rights in and to the Service, including all software, algorithms, user interfaces, documentation, and any improvements, enhancements, or modifications to the Service. These Terms do not grant you any rights to CompeteIQ's trademarks, service marks, or logos.
Any suggestions, enhancement requests, recommendations, or other feedback you provide regarding the Service ("Feedback") becomes the property of CompeteIQ. Content generated by the Service's AI capabilities based on your data is considered part of your Customer Data and is subject to Section 5.
CompeteIQ may reference and disclose your name as a user of the Service on customer lists and on the CompeteIQ website, including your name and logo.
8. Third-Party Integrations
The Service integrates with third-party platforms including Salesforce, Slack, Microsoft Teams, Highspot, and business intelligence tools. Your use of these integrations is subject to the respective third-party terms of service. CompeteIQ is not responsible for the availability, accuracy, or policies of third-party services.
CompeteIQ is a Salesforce AppExchange-certified Competitive Intelligence Platform, and our Salesforce integration has passed the Salesforce.com Security Review.
9. Service Availability and Support
CompeteIQ shall use commercially reasonable efforts to make the Subscription Services available 24 hours a day, 7 days a week, except for:
Planned Downtime: Scheduled during weekend hours (6:00 p.m. Friday to 3:00 a.m. Monday, Pacific Standard Time) with at least 8 hours' prior notice via email
Force Majeure: Unavailability caused by circumstances beyond CompeteIQ's reasonable control, including acts of God, government actions, natural disasters, civil unrest, strikes, ISP failures, or denial of service attacks
Our infrastructure is hosted on Microsoft Azure with geographically dispersed data centers providing business continuity and disaster recovery capabilities. Support is provided in accordance with the terms of your subscription or service agreement.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
COMPETEIQ'S LIABILITY FOR ANY SINGLE INCIDENT SHALL NOT EXCEED THE LESSER OF US $25,000 OR THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT
COMPETEIQ'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU UNDER THE APPLICABLE AGREEMENT
NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, REGARDLESS OF WHETHER THE PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
These limitations do not limit your payment obligations under Section 4.
11. Indemnification
By CompeteIQ: CompeteIQ will defend you against third-party claims that your use of the Service infringes or misappropriates third-party intellectual property rights, and will indemnify you for damages, attorney fees, and costs awarded or paid under a court-approved settlement. If the Service is found to infringe, CompeteIQ may, at its option, modify the Service, obtain a license, or terminate your subscription with 30 days' written notice and refund prepaid fees for the remainder of the term.
By You: You will defend CompeteIQ against third-party claims that your Customer Data or your use of the Service in breach of these Terms infringes intellectual property or violates applicable law, and will indemnify CompeteIQ for resulting damages, attorney fees, and costs.
12. Termination
Either party may terminate the subscription in accordance with the terms of your service agreement. CompeteIQ may suspend or terminate your access to the Service immediately if:
You breach any provision of these Terms
Your use of the Service poses a security risk to CompeteIQ or any third party
Required by law or regulation
Upon termination, your right to use the Service ceases immediately. Sections 5, 7, 10, 11, and 14 survive termination.
13. Modifications to Terms
CompeteIQ may update these Terms from time to time. We will provide notice of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Each party consents to the exclusive and personal jurisdiction of the state and federal courts located in San Francisco, California.
15. General Provisions
Entire Agreement: These Terms, together with any applicable Order Form or service agreement, constitute the entire agreement between you and CompeteIQ regarding the Service and supersede all prior agreements, proposals, or representations.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment: Neither party may assign these Terms without the other party's prior written consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets (not involving a direct competitor).
Modifications: No modification or amendment is effective unless in writing and signed by the party against whom it is to be asserted.
