We may perform scheduled maintenance and updates to our services. We will make reasonable efforts to notify you of any planned maintenance that may affect service availability.
3. User Obligations and Conduct
3.1 Eligibility

5. User Content and Data
5.1 Your Content
You retain ownership of any content, data, or information you submit to our services ("User Content"). By submitting User Content, you grant us a license to use, store, process, and display such content as necessary to provide our services.
5.2 Content Responsibility
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights to submit your User Content and that it does not violate any laws or third-party rights.

7. Fees and Payment

Fees will be billed in accordance with the terms specified in your service agreement. Payment is due as specified in your invoice or service agreement.

We reserve the right to suspend or terminate services for non-payment. Late payments may be subject to interest charges and collection costs.

8. Disclaimers and Limitations of Liability
8.1 Warranty Disclaimer
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER ARISING OUT OF CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.3 Maximum Liability
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO VOXAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
8.4 Third-Party Services
Our services may integrate with or link to third-party services, applications, or websites. We are not responsible for the content, functionality, or practices of any third-party services.
9. Indemnification
9.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Voxai Solutions, Inc., its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms of Use; (c) your User Content; or (d) your violation of any rights of another party.
9.2 Defense
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
10. Termination
10.1 Termination by You
You may terminate your use of our services at any time by discontinuing your access to our website and services and, if applicable, closing your account.
10.2 Termination by Voxai
We may suspend or terminate your access to our services at any time, with or without cause, with or without notice, for any reason including but not limited to: (a) violation of these Terms of Use; (b) non-payment of fees; (c) suspected fraudulent or illegal activity; or (d) at our sole discretion.
10.3 Effect of Termination
Upon termination, your right to use our services will immediately cease. We may delete your account and User Content. Provisions that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
11. Dispute Resolution
11.1 Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
11.2 Jurisdiction
You agree to submit to the personal and exclusive jurisdiction of the courts located in Dallas County, Texas, for the resolution of any disputes arising out of or related to these Terms of Use or your use of our services.
11.3 Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms of Use or your use of our services shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except as otherwise provided herein. The arbitration shall take place in Dallas County, Texas.
11.4 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and Voxai individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12. International Users
12.1 Global Operations
Our services are controlled and operated from the United States. If you access our services from outside the United States, you are responsible for compliance with local laws and regulations.
12.2 Data Transfer
Your information may be transferred to and processed in the United States or other countries where our service providers operate. By using our services, you consent to such transfers.
12.3 Export Controls
You agree to comply with all applicable export and import control laws and regulations in your use of our services.
13. General Provisions
13.1 Entire Agreement
These Terms of Use, together with our Privacy Policy and any service-specific terms, constitute the entire agreement between you and Voxai regarding your use of our services.
13.2 Severability
If any provision of these Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms of Use will not be deemed a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms of Use or your rights hereunder without our prior written consent. We may assign or transfer these Terms of Use without restriction.
13.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
13.6 Headings
The section headings in these Terms of Use are for convenience only and have no legal or contractual effect.
