Terms of Service

These Terms govern your use of DiligenceVDR, a virtual data room platform operated by DiligenceVDR, LLC ("Company", "we", "us").
By accessing DiligenceVDR, you agree to these Terms. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.
1. Service Description
DiligenceVDR provides secure virtual data rooms for mergers & acquisitions due diligence, enabling document sharing, access control, search, and collaboration between deal parties.
2. Accounts and Access
Access is by invitation only, issued by project administrators
You are responsible for maintaining the security of your account credentials
You must notify us immediately of any unauthorized access
We may suspend accounts that violate these Terms or pose a security risk
3. Acceptable Use
You agree not to:
Upload malicious files, malware, or content that violates applicable law
Attempt to circumvent access controls, watermarking, or encryption
Share credentials or access with unauthorized parties
Use the service for any purpose other than legitimate due diligence activities
Reverse-engineer, decompile, or extract source code from the service
4. Data and Privacy
Our Privacy Policy describes how we handle personal data

Enterprise customers may enter into a Data Processing Addendum (DPA) for GDPR and U.S. state privacy law compliance — contact [email protected]
You retain all rights to content you upload; we claim no ownership
5. Document Handling
All uploaded files are scanned for malware before processing
Documents are encrypted at rest and in transit
Downloads may include dynamic watermarks identifying the recipient
Project administrators control access permissions and AI feature availability per data room
6. AI Features
When enabled by the project administrator, document text may be processed by AI providers for search indexing and chat-based review
AI processing can be disabled per project, in which case no document content is sent to external providers

7. Data Retention and Deletion
Data retention periods are described in our Privacy Policy
Users may request account deletion via their profile settings
Project administrators may request data room closure and destruction
Upon contract termination, customer data is retained for 90 days then permanently deleted
8. Security Incidents
We will notify affected customers of confirmed data breaches within 72 hours, consistent with GDPR Article 33 obligations. Report security concerns to [email protected].
9. Service Availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors outside our control.
10. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability for any claims arising from your use of the service shall not exceed the fees paid by your organization in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages.
11. Intellectual Property
The DiligenceVDR service, including its software, design, and documentation, is owned by DiligenceVDR, LLC. These Terms grant you a limited, non-exclusive, non-transferable right to use the service for its intended purpose.
12. Termination
Either party may terminate the relationship with 30 days written notice. We may suspend or terminate access immediately for violations of these Terms. Upon termination, Section 7 (Data Retention) applies.
13. Governing Law
These Terms are governed by the laws of the State of Colorado. Disputes shall be resolved in the federal and state courts located in Denver, Colorado.
14. Changes
We may update these Terms. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes constitutes acceptance.
